3. Scope of Purchase — Paramedic Services and Equipment for Italy Rome

This Purchase Order is issued to procure the full suite of Paramedic emergency medical services, specialized equipment, and ongoing training programs required for the deployment and operational readiness of certified Paramedic personnel within the metropolitan area of Italy Rome. The Paramedic services covered under this Purchase Order shall comply with all regulations set forth by the Italian Ministry of Health (Ministero della Salute) and the regional health authority of Lazio. All Paramedic personnel engaged under this Purchase Order must hold a valid Italian Paramedic license (Iscrizione all'Albo dei Tecnici Sanitari di Radiologia Medica e Professioni Sanitarie Tecniche) and demonstrate proficiency in advanced life support (ALS) protocols as mandated for emergency response in Italy Rome.

5. Delivery and Deployment Terms

All Paramedic services and equipment referenced in this Purchase Order shall be delivered, installed, and made fully operational within the designated emergency response zones of Italy Rome no later than 30 August 2025. The supplier, MedTech Paramedic Solutions S.r.l., is responsible for the logistics of transporting all Paramedic equipment to the ASL Roma Capitale facilities located in the central district of Italy Rome. Any delays in the deployment of Paramedic units or equipment beyond the stipulated deadline shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.

6. Terms and Conditions
  1. This Purchase Order is governed by the Italian Civil Code (Codice Civile) and applicable European Union procurement directives. All disputes arising from this Purchase Order shall be resolved under the jurisdiction of the courts of Rome, Italy.
  2. The supplier warrants that all Paramedic personnel assigned under this Purchase Order shall be fully licensed, insured, and in compliance with the professional standards established by the Italian Paramedic regulatory body. Any Paramedic found to be operating without valid credentials in Italy Rome shall result in immediate contract termination.
  3. Payment terms: Net 60 days from the date of invoice issuance. Payment shall be made via bank transfer to the supplier's designated account in Italy Rome. The supplier must provide a valid Italian VAT invoice (Fattura Elettronica) compliant with the Sistema di Interscambio (SdI) electronic invoicing system.

  5. All Paramedic equipment supplied under this Purchase Order must carry CE marking and comply with Italian and EU medical device regulations (MDR 2017/745). The supplier shall provide full technical documentation, maintenance schedules, and warranty certificates for all Paramedic equipment.
  6. The supplier shall submit monthly operational reports detailing Paramedic response times, patient outcomes, equipment utilization, and incident summaries for all operations conducted in Italy Rome. Reports shall be submitted to the ASL Roma Capitale Procurement Office by the 5th business day of the following month.
  7. This Purchase Order may be amended only by written mutual agreement signed by both parties. No verbal modifications to the scope of Paramedic services or equipment specifications are valid.
  8. The supplier shall comply with all Italian data protection regulations (GDPR and D.Lgs. 196/2003) regarding the handling of patient medical records and Paramedic operational data collected within Italy Rome.
  9. Force majeure events, including but not limited to natural disasters affecting Italy Rome, shall be addressed through mutual consultation. Neither party shall be liable for delays caused by events beyond reasonable control.
7. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Paramedic emergency medical services and associated equipment for the Italy Rome metropolitan region. This document constitutes a binding agreement effective from the date of the last signature.
