Paramedic Services and Emergency Medical Equipment Procurement for Russia Moscow Operations

This Purchase Order is issued by the Moscow Regional Emergency Medical Services Authority (hereinafter referred to as the "Buyer") to MedSupply International LLC (hereinafter referred to as the "Seller") for the procurement of comprehensive Paramedic services, emergency medical equipment, and associated training programs to be deployed and utilized within the Russia Moscow metropolitan area. This Purchase Order governs all terms, conditions, delivery schedules, and payment obligations related to the acquisition of Paramedic resources necessary to enhance the emergency medical response infrastructure serving the population of Russia Moscow.

The primary objective of this Purchase Order is to ensure that a fully equipped and certified Paramedic workforce is available to respond to medical emergencies across all administrative districts of Russia Moscow, including but not limited to the Central, Northern, Southern, Eastern, and Western Administrative Okrugs. The Paramedic services procured under this Purchase Order shall comply with all applicable Russian Federation federal health regulations, Moscow City emergency response protocols, and international Paramedic practice standards.

All Paramedic personnel contracted under this Purchase Order shall report for duty at the designated Moscow Regional Emergency Medical Services Authority facilities no later than 30 days from the date of acceptance of this Purchase Order. The Paramedic emergency response vehicles and associated equipment shall be delivered to the Buyer's central logistics depot located at 8, Krasnodolgorodskaya Street, Moscow, Russia, within 45 calendar days of the Purchase Order effective date.

The Seller shall ensure that all Paramedic equipment and vehicles are fully inspected, calibrated, and certified for operation within the Russia Moscow jurisdiction prior to delivery. All Paramedic personnel must hold valid Russian Federation medical practice licenses and current Paramedic certification recognized by the Ministry of Health of the Russian Federation. The Seller warrants that all Paramedic staff assigned under this Purchase Order have completed a minimum of 2,000 hours of clinical emergency care experience.

Payment for this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the Seller's designated account. The payment schedule is as follows:

• 30% advance payment (RUB 61,155,000) due within 10 business days of mutual signature of this Purchase Order.
• 40% milestone payment (RUB 81,540,000) due upon confirmed delivery and acceptance of all Paramedic vehicles, equipment, and dispatch systems in Russia Moscow.
• 30% final payment (RUB 61,155,000) due upon completion of the 12-month Paramedic service contract period and successful completion of all training modules.

This Purchase Order is governed by the Civil Code of the Russian Federation and applicable Moscow City procurement regulations. Any disputes arising from this Purchase Order shall be resolved through arbitration in Moscow, Russia, in accordance with the rules of the Moscow Arbitration Court.

The Seller shall maintain comprehensive liability insurance covering all Paramedic personnel and equipment deployed in Russia Moscow for the duration of this Purchase Order. The Seller is responsible for all customs clearance, import duties, and regulatory compliance associated with the Paramedic equipment listed in Section 2 of this Purchase Order.

Either party may terminate this Purchase Order with 60 days' written notice in the event of material breach. Upon termination, the Seller shall return all undeployed Paramedic equipment to the Buyer's designated facility in Russia Moscow within 15 business days.
