The services outlined in this Purchase Order are intended to support the ongoing operational requirements of the Birmingham and Solihull NHS Foundation Trust, the University Hospitals Birmingham NHS Foundation Trust, and affiliated community health centres operating within the West Midlands region.
The Paramedic services procured under this Purchase Order shall include but are not limited to: emergency response coverage, critical care transport, pre-hospital assessment, patient stabilisation, and on-call standby duties at designated medical facilities throughout United Kingdom Birmingham. All Paramedic personnel assigned under this contract must hold a current General Nursing Council (GNC) registration, a valid NHS Blue Light Card, and a minimum of three (3) years of post-qualification experience in emergency and critical care settings within the United Kingdom.

- 3.1 This Purchase Order constitutes a binding agreement between the Purchasing Authority and the Supplier upon written acceptance by both parties. All terms herein shall be governed by the laws of England and Wales, applicable within the United Kingdom.
- 3.2 The Supplier shall ensure that all Paramedic personnel assigned to this contract are fully vetted, hold valid right-to-work documentation for the United Kingdom, and have completed enhanced DBS (Disclosure and Barring Service) checks as required for healthcare roles in Birmingham.
- 3.3 Payment terms: Net 30 days from the date of a valid invoice. Invoices shall be submitted monthly in arrears. Late payments shall accrue interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- 3.4 The Supplier warrants that all Paramedic staff shall comply with the NHS Code of Conduct, the Health and Care Professions Framework, and all applicable regulations set forth by the West Midlands Integrated Care Board (ICB).
- 3.5 The Purchasing Authority reserves the right to request the replacement of any Paramedic individual within fourteen (14) calendar days should performance, conduct, or competency standards not be met, without incurring additional cost under this Purchase Order.
- 3.6 All services shall be delivered at the designated facilities within United Kingdom Birmingham as specified in the line items above. The Supplier is responsible for all travel, accommodation, and logistical arrangements for the Paramedic personnel.
- 3.7 This Purchase Order may be terminated by either party with a written notice period of sixty (60) days. In the event of termination, the Supplier shall ensure a minimum of four (4) weeks' transition period to allow for the redeployment or replacement of all Paramedic staff to maintain uninterrupted emergency services in Birmingham.
- 3.8 The Supplier shall maintain professional indemnity insurance with a minimum cover of £5,000,000 per claim and public liability insurance of £10,000,000 for the duration of this Purchase Order.
- 3.9 All data processed in connection with this Purchase Order shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Patient data handled by Paramedic staff shall be processed in strict accordance with NHS Information Governance standards.
- 3.10 Disputes arising from this Purchase Order shall be resolved through mediation in Birmingham, United Kingdom, before any formal legal proceedings are initiated.
This Purchase Order has been reviewed and authorised by the Procurement and Contracts Department of West Midlands Emergency Healthcare Services Ltd. The Supplier is requested to confirm acceptance of all terms, conditions, and line items specified herein by signing and returning a copy of this document within ten (10) business days of the date of issue. Failure to respond within the stipulated period shall be construed as acceptance of all terms.
