Terms and Conditions
  1. Scope of Work: This Purchase Order authorizes the procurement of Paramedic services and associated emergency medical equipment for deployment across all five boroughs of United States New York City. All Paramedics engaged under this Purchase Order must hold a current New York State Paramedic license issued by the NYS Education Department and maintain active American Heart Association ACLS and BLS certifications throughout the contract term.
  2. Compliance and Licensing: The Supplier, Empire State Paramedic Services LLC, warrants that every Paramedic assigned under this Purchase Order shall comply with all applicable federal, state, and local regulations governing emergency medical services in United States New York City, including but not limited to the New York City Administrative Code Title 17, NYS Public Health Law Article 28, and all directives issued by the NYC Department of Health and Mental Hygiene.
  3. Performance Standards: Each Paramedic unit shall respond to 911 dispatch calls within the NYC EMS response time benchmarks established by the Metropolitan Emergency Medical Services Division. Failure to meet response time targets for three consecutive months shall constitute a material breach of this Purchase Order and may result in termination with 30 days written notice.
  4. Insurance and Liability: The Supplier shall maintain, at its own expense, a minimum of $5,000,000 in commercial general liability insurance, $2,000,000 in professional liability (malpractice) insurance per Paramedic, and workers' compensation coverage as required by New York State law. Certificates of insurance naming the Department of Health as additional insured shall be provided prior to the start date specified in this Purchase Order.
  5. Payment Schedule: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding calendar month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in United States Dollars via electronic funds transfer to the account designated by the Supplier. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State General Obligations Law Section 5-531.
  6. Termination: Either party may terminate this Purchase Order for convenience upon sixty (60) days written notice. The Buyer may terminate immediately for cause, including but not limited to: a Paramedic operating without valid licensure, failure to maintain required insurance, gross negligence in patient care, or violation of United States New York City public health emergency protocols.
  7. Confidentiality and HIPAA: All patient information accessed by Paramedics under this Purchase Order is protected under the Health Insurance Portability and Accountability Act (HIPAA) and New York State Public Health Law Article 27-F. The Supplier shall ensure that every Paramedic signs a HIPAA Business Associate Agreement prior to commencing duties.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York. Any disputes arising under this Purchase Order shall be resolved in the state or federal courts located in the Borough of Manhattan, United States New York City.
  9. Anti-Discrimination: The Supplier and all Paramedics engaged under this Purchase Order shall comply with the New York City Human Rights Law and all applicable federal anti-discrimination statutes. Equal employment opportunity shall be maintained in all staffing decisions.
  10. Entire Agreement: This Purchase Order, together with any attached exhibits and the Supplier's executed proposal dated May 28, 2025, constitutes the entire agreement between the parties regarding the procurement of Paramedic services in United States New York City. No modification shall be valid unless made in writing and signed by authorized representatives of both parties.
