This Purchase Order (hereinafter referred to as "this PO") is issued by Central Asia Energy Development Corporation (CAEDC) to Global Petroleum Consulting Group (GPCG) for the procurement and engagement of a qualified Petroleum Engineer to provide specialized technical services in support of CAEDC's hydrocarbon exploration and production operations located in Afghanistan Kabul and its surrounding geological survey areas. This Purchase Order constitutes a binding agreement upon acceptance by both parties and shall govern all terms, conditions, deliverables, and financial obligations related to the engagement of the Petroleum Engineer for the duration specified herein.
The Petroleum Engineer engaged under this Purchase Order shall perform the following duties and deliverables in and around Afghanistan Kabul:

The Petroleum Engineer assigned to this Purchase Order must meet the following minimum qualifications:
- A minimum of fifteen (15) years of progressive experience in petroleum engineering, with at least five (5) years in exploration and production environments in geologically complex basins.
- A Master's degree or higher in Petroleum Engineering, Reservoir Engineering, or a closely related discipline from an accredited university.
- Professional certification as a Licensed Professional Engineer (PE) or equivalent international credential (e.g., CEng, IChemE).
- Demonstrated experience working in or with Central and South Asian geological formations, with a strong understanding of the tectonic and sedimentary characteristics relevant to the Afghanistan Kabul region.
- Fluency in English; working proficiency in Dari or Pashto is considered a significant advantage for operational effectiveness in Afghanistan Kabul.
- Valid medical clearance and fitness certification suitable for fieldwork in the Afghanistan Kabul area, including high-altitude and remote terrain conditions.
- 4.1 Commencement and Duration: The services under this Purchase Order shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Petroleum Engineer shall be physically present in Afghanistan Kabul for a minimum of 220 working days per contract year.
- 4.2 Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of an approved invoice. The first payment shall be due upon the Petroleum Engineer's arrival and onboarding in Afghanistan Kabul. All payments shall be made in US Dollars via wire transfer to the account designated by GPCG.
- 4.3 Security and Insurance: CAEDC shall provide adequate security arrangements for the Petroleum Engineer while operating in Afghanistan Kabul, including secure transportation, guarded accommodation, and emergency evacuation protocols. GPCG shall maintain professional liability insurance with a minimum coverage of USD 2,000,000.
- 4.4 Compliance with Local Law: The Petroleum Engineer shall comply with all applicable laws, regulations, and permits of the Islamic Republic of Afghanistan, including those issued by the Ministry of Mines and Petroleum and the relevant provincial authorities in Afghanistan Kabul. GPCG is responsible for obtaining all necessary work visas and professional permits.
- 4.5 Intellectual Property: All data, reports, models, and technical deliverables produced by the Petroleum Engineer under this Purchase Order shall be the exclusive property of CAEDC. GPCG shall not disclose any proprietary information related to the Afghanistan Kabul operations to third parties without prior written consent.
- 4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of force majeure, including but not limited to security deterioration in Afghanistan Kabul, either party may suspend or terminate the engagement without penalty.
- 4.7 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The governing law shall be the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- 4.8 Health and Safety: The Petroleum Engineer shall adhere to all health and safety protocols established by CAEDC for operations in Afghanistan Kabul, including mandatory medical check-ups, vaccination requirements, and emergency response training prior to deployment.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Petroleum Engineer in support of operations in Afghanistan Kabul. This document, together with any attached exhibits and specifications, forms the complete and exclusive agreement between the parties with respect to the subject matter herein.
