This Purchase Order is issued by Downstream Energy Solutions Pty Ltd (hereinafter referred to as the "Buyer") to Strata & Reservoir Consulting Group Ltd (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide specialist technical services in support of the Buyer's onshore gas exploration and production operations located in the Surat Basin, Queensland, Australia. The Petroleum Engineer shall be responsible for reservoir modelling, well performance analysis, production optimisation, and technical due diligence assessments as outlined in the line items below. All services rendered under this Purchase Order shall be performed in accordance with Australian Standards, the Petroleum and Geothermal Resources Safety Regulations 2016 (Queensland), and the applicable provisions of the Mining and Resource Development Act 1992 (Qld).

The Petroleum Engineer engaged under this Purchase Order shall deliver the following key outputs to the Buyer's project management team based in Australia Brisbane:
- A comprehensive static reservoir model incorporating geological, geophysical, and petrophysical data for the designated Surat Basin acreage, to be delivered within 45 calendar days of the commencement date.
- A calibrated dynamic simulation model with history-matched production profiles for all 12 producing wells, including sensitivity analyses for water injection scenarios.
- Monthly production performance reports detailing reservoir pressure trends, deliverability assessments, and 12-month forward production forecasts.
- A standalone technical due diligence report suitable for presentation to the Buyer's board of directors and external financiers, covering resource estimates (2P/1P), development risk, and capital expenditure projections.
- A full HSE compliance and risk assessment report aligned with the Work Health and Safety Act 2011 (Qld) and the Petroleum and Geothermal Resources Safety Regulations 2016.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia Brisbane jurisdiction. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Queensland.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the Supplier. Invoices shall reference Purchase Order number PO-2025-BNE-04782. Payment shall be made via electronic funds transfer (EFT) to the Supplier's nominated bank account in Australia Brisbane.
- Intellectual Property: All reports, models, data sets, and deliverables produced by the Petroleum Engineer under this Purchase Order shall become the sole property of the Buyer upon full payment. The Supplier shall not reuse, reproduce, or disclose any proprietary information without prior written consent.
- Confidentiality: The Supplier and the Petroleum Engineer shall maintain strict confidentiality of all technical, commercial, and operational information received in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
- Insurance: The Supplier shall maintain, at its own cost, professional indemnity insurance of no less than AUD $10,000,000 and public liability insurance of no less than AUD $20,000,000 for the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination.
- Compliance: The Petroleum Engineer shall hold a valid Australian Professional Engineers (APEC) accreditation and shall comply with all applicable Australian petroleum industry regulations, including those administered by the Queensland Resources Regulator.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government action, or industrial disputes in Australia Brisbane or the broader Queensland region.
This Purchase Order is issued and authorised by the undersigned on behalf of Downstream Energy Solutions Pty Ltd. Acceptance of this Purchase Order by the Supplier constitutes full agreement to all terms, conditions, scope of work, and pricing set forth herein. The Supplier's acceptance shall be confirmed in writing within five (5) business days of the date of issue.
