This Purchase Order is issued by Southern Cross Energy Resources Pty Ltd (hereinafter referred to as the "Buyer") to Apex Petroleum Consulting Group (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide specialised technical consultancy services in support of the Buyer's onshore and offshore hydrocarbon exploration and production operations. The Petroleum Engineer shall be based and shall conduct all primary work activities within the metropolitan region of Australia Melbourne, specifically at the Buyer's principal operations centre located at Level 24, 120 Collins Street, Melbourne, Victoria, Australia.

The scope of services to be delivered by the Petroleum Engineer under this Purchase Order includes, but is not limited to: reservoir modelling and simulation; well performance analysis and optimisation; production forecasting; completion design review; hydraulic fracturing programme evaluation; and technical due diligence support for prospective acquisition targets in the Otway Basin and Gippsland Basin regions adjacent to Australia Melbourne.

All services rendered under this Purchase Order shall be performed by the designated Petroleum Engineer personnel at the Buyer's facility in Australia Melbourne, with the primary work location being Level 24, 120 Collins Street, Melbourne, VIC 3000. The Petroleum Engineer is required to be physically present at the Melbourne operations centre a minimum of four (4) days per week, with the remaining day allocated to remote analytical work. Any site visits to exploration or production assets in the broader Australian region shall be pre-approved in writing by the Buyer's Project Director and shall be billed at the hourly rate specified in Line Item 04 of this Purchase Order.

Payment for services rendered under this Purchase Order shall be made on a monthly basis in arrears. The Supplier shall submit a detailed invoice to the Buyer's Accounts Payable department no later than the fifth (5th) business day of each calendar month, itemising the hours worked by each Petroleum Engineer and any associated expenses. Payment shall be processed within thirty (30) calendar days of receipt of a valid and approved invoice. All payments shall be made in Australian Dollars (AUD) via electronic funds transfer (EFT) to the Supplier's nominated bank account in Australia Melbourne.

  1. Qualifications: The Petroleum Engineer assigned to this Purchase Order must hold a minimum of a Bachelor of Engineering (Petroleum) degree from an accredited Australian university and possess a minimum of eight (8) years of progressive experience in reservoir engineering or production engineering. The Senior Petroleum Engineer must additionally hold a Professional Engineer (PE) registration with Engineers Australia.
  2. Compliance: All services shall be performed in strict compliance with the Petroleum and Geothermal Resources Safety Regulations 2015 (Victoria), the Work Health and Safety Act 2011 (Victoria), and all applicable Australian Standards relevant to petroleum operations in the Australia Melbourne metropolitan area.
  3. Confidentiality: The Supplier and all Petroleum Engineer personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. All reservoir data, well logs, production histories, and proprietary models accessed during the engagement under this Purchase Order shall remain the exclusive intellectual property of the Buyer.
  4. Insurance: The Supplier shall maintain, at its own cost, professional indemnity insurance with a minimum cover of AUD 10,000,000 and public liability insurance of AUD 20,000,000 for the duration of this Purchase Order.
  5. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered and approved expenses incurred up to the effective date of termination.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia Melbourne, and the Commonwealth of Australia. Any disputes shall be resolved by arbitration in Melbourne under the rules of the Victorian Commercial Arbitration Service (VCAS).
  7. Subcontracting: The Supplier shall not subcontract any portion of the Petroleum Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Petroleum Engineer services in Australia Melbourne. This document constitutes a binding procurement instrument upon execution by both authorised representatives.
