Scope of Work & Service Description

This Purchase Order is issued by Downstream Energy Solutions Pty Ltd for the engagement of a qualified Petroleum Engineer to provide specialised technical consulting services for the Hunter Valley Basin exploration and production project. The Petroleum Engineer shall be based at the project office located in Australia Sydney, specifically at the Downstream Energy Solutions facility on George Street, and shall report directly to the Project Director. The scope encompasses reservoir modelling, well performance analysis, production optimisation, and technical due diligence for the proposed Phase II drilling programme in the Sydney Basin region.

The Petroleum Engineer must hold a minimum of ten (10) years of post-qualification experience in upstream petroleum operations, possess a professional engineering registration with Engineers Australia, and demonstrate proven expertise in sedimentary basin analysis, hydraulic fracturing design, and enhanced oil recovery techniques. All deliverables must comply with the Australian Petroleum Production and Safety Rules (APSR) and the relevant New South Wales environmental legislation applicable to operations in Australia Sydney and surrounding jurisdictions.

1. This Purchase Order constitutes a binding agreement between Downstream Energy Solutions Pty Ltd and Apex Petroleum Consulting Group upon signature by both parties. All terms are governed by the laws of the State of New South Wales, Australia.
2. The Petroleum Engineer engaged under this Purchase Order shall maintain full professional indemnity insurance with a minimum coverage of AUD $10,000,000 and public liability insurance of AUD $20,000,000 throughout the duration of the engagement in Australia Sydney.
3. Payment terms: Net 30 days from receipt of a valid tax invoice. Invoices must reference this Purchase Order number (DES-2025-04871) and include the supplier's ABN. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the supplier.
4. The Petroleum Engineer shall comply with all occupational health and safety (OHS) requirements as stipulated under the Work Health and Safety Act 2011 (NSW) and shall complete all mandatory site induction and safety training prior to commencing work at any project location in or around Australia Sydney.
5. All intellectual property, data, reports, and deliverables produced by the Petroleum Engineer under this Purchase Order shall be the sole property of Downstream Energy Solutions Pty Ltd. The supplier warrants that all work shall be original and free from any third-party intellectual property claims.
6. The supplier shall provide a minimum of fourteen (14) calendar days' written notice prior to any substitution of the nominated Petroleum Engineer. Any substitute must meet or exceed the qualifications and experience outlined in the Scope of Work section of this Purchase Order.
7. Force majeure events, including but not limited to natural disasters affecting the Australia Sydney region, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 48 hours.
8. This Purchase Order may be amended only by mutual written agreement signed by authorised representatives of both parties. No verbal modifications shall be binding.
9. Disputes arising from this Purchase Order shall be resolved through mediation in Australia Sydney in accordance with the Commercial Arbitration Act 2011 (NSW) before any litigation is commenced.

Delivery & Commencement

The Petroleum Engineer shall commence services on 1 July 2025 at the Downstream Energy Solutions project office, Level 22, 100 George Street, Sydney NSW 2000, Australia Sydney. The initial engagement period is twelve (12) months, with the option to extend by a further six (6) months at the sole discretion of the Buyer. All project deliverables shall be submitted in electronic format (PDF and native files) to the Project Director no later than the dates specified in the project schedule attached as Appendix A to this Purchase Order.
