This Purchase Order is issued by Delta Basin Energy Ventures Ltd. (hereinafter referred to as the "Buyer") to Arif Rahman Petroleum Consulting Ltd. (hereinafter referred to as the "Seller") for the engagement of a qualified Petroleum Engineer to provide comprehensive technical consulting services in support of the Buyer's upstream exploration and production operations. The Petroleum Engineer shall be a licensed professional registered with the Bangladesh Council of Scientific and Industrial Research (BCSIR) and shall hold a minimum of ten (10) years of progressive experience in reservoir engineering, well completion design, and production optimization within the sedimentary basins of Bangladesh.

The scope of services to be delivered by the Petroleum Engineer under this Purchase Order includes, but is not limited to, the following deliverables:

  • Conducting detailed reservoir characterization and static/dynamic analysis for the Buyer's active wells in the Meghna and Surma formations located in the Bangladesh Dhaka metropolitan operational zone and surrounding field sites.
  • Preparing monthly production reports, decline curve analyses, and water-cut trend assessments for a minimum of twenty-five (25) producing wells.
  • Designing and reviewing well completion programs, including artificial lift system selection, downhole tool specifications, and surface facility integration plans.
  • Performing nodal analysis and inflow performance relationship (IPR) studies to optimize production rates and reduce operational costs.
  • Providing technical due-diligence support for the Buyer's planned acquisition of two (2) additional exploration blocks in the Bangladesh Dhaka region during the 2025-2026 fiscal year.
  • Attending weekly operational review meetings at the Buyer's headquarters in Bangladesh Dhaka and providing on-site field support at assigned locations for a minimum of four (4) days per month.
  • Preparing a comprehensive annual technical report summarizing all findings, recommendations, and capital expenditure projections for the Board of Directors of the Buyer.

All amounts are quoted in Bangladeshi Taka (BDT). The Seller shall submit a valid VAT invoice along with each monthly payment request. Payment shall be made via bank transfer to the Seller's designated account at a commercial bank in Bangladesh Dhaka. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the Bangladesh Negotiable Instruments Act.

  1. Qualification Requirement: The Petroleum Engineer assigned to this Purchase Order must hold a Bachelor's or Master's degree in Petroleum Engineering from an accredited institution and must be a registered member of the Bangladesh Petroleum Engineers Association (BPEA). A copy of the professional license and CV shall be submitted to the Buyer's Human Resources department prior to the commencement date.
  2. Confidentiality: The Petroleum Engineer shall treat all reservoir data, well logs, production figures, and proprietary information of the Buyer as strictly confidential. A Non-Disclosure Agreement (NDA) in accordance with the Bangladesh Information and Communication Technology Act, 2006, shall be executed before any data transfer.
  3. Performance Standards: All deliverables shall conform to the technical standards set forth in Annexure A of this Purchase Order. The Buyer reserves the right to request revisions within ten (10) working days of initial submission at no additional cost.
  4. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall be compensated for all services rendered up to the effective date of termination, less any outstanding deliverables.
  5. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001. The seat of arbitration shall be Bangladesh Dhaka, and the language of proceedings shall be English.
  6. Compliance: The Seller and the assigned Petroleum Engineer shall comply with all applicable laws and regulations of the People's Republic of Bangladesh, including the Bangladesh Petroleum and Natural Gas Regulatory Authority (BPNGRA) guidelines, the Bangladesh Labour Act, 2006, and all environmental regulations issued by the Department of Environment, Bangladesh Dhaka.
  7. Insurance: The Seller shall maintain professional indemnity insurance with a minimum coverage of BDT 50,000,000 (Fifty Million Taka) for the duration of this Purchase Order and shall provide a certificate of insurance to the Buyer upon request.

This Purchase Order constitutes a binding procurement document. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Petroleum Engineer in Bangladesh Dhaka and associated field locations.
