This Purchase Order is issued by EuroPetrol Engineering Solutions S.A., a company duly registered in Belgium Brussels, for the engagement of a qualified Petroleum Engineer to provide specialized subsurface analysis, reservoir modeling, and production optimization services. The Petroleum Engineer shall be responsible for the full technical lifecycle management of hydrocarbon reservoir evaluation projects located in and around the Belgium Brussels metropolitan area and associated offshore exploration zones under Belgian jurisdiction.
The scope of work for the Petroleum Engineer includes, but is not limited to: (a) conducting detailed reservoir characterization and volumetric analysis; (b) developing and calibrating numerical simulation models for production forecasting; (c) performing wellbore trajectory optimization and completion design reviews; (d) preparing technical feasibility reports for new drilling campaigns; (e) providing ongoing technical advisory support to the project management team based in Belgium Brussels; and (f) ensuring full compliance with the regulatory framework established by the Belgian Federal Public Service Economy, SMEs, Self-Employed and Energy (FPS Economy) and the relevant European Union directives on petroleum operations.

Payment for this Purchase Order shall be made in monthly installments of EUR 19,395.29 (inclusive of VAT), due within thirty (30) calendar days from the date of invoice receipt. All payments shall be transferred via SEPA bank transfer to the account of SubSurface Consulting Group BV held at BNP Paribas Fortis, Belgium Brussels branch (IBAN: BE68 5390 0754 7034). Late payments shall accrue interest at the rate prescribed by the Belgian Code of Economic Law, Article 5:20. The Buyer reserves the right to withhold payment for any deliverables not meeting the technical specifications outlined in Annex A of this Purchase Order.
This Purchase Order is governed by and shall be construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Belgium Brussels. The Petroleum Engineer engaged under this Purchase Order shall maintain professional indemnity insurance with a minimum coverage of EUR 2,000,000 and shall comply with all applicable Belgian labor regulations, including those pertaining to the engagement of specialized technical personnel in the energy sector.
The Seller warrants that the Petroleum Engineer assigned to this Purchase Order holds a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, possesses at least ten (10) years of progressive experience in reservoir engineering, and is registered with the Belgian Order of Engineers and Architects where applicable. All work products, data, and intellectual property generated in the course of fulfilling this Purchase Order shall remain the exclusive property of EuroPetrol Engineering Solutions S.A.
Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Seller shall deliver all completed work products and raw data to the Buyer's office in Belgium Brussels within fifteen (15) business days of the effective termination date.
