1. Scope of Work. This Purchase Order authorizes the vendor to supply qualified Petroleum Engineer professionals and associated technical resources to perform the services described in the line items above. All engineering work shall be conducted in accordance with the standards set forth by the Canadian Association of Petroleum Producers (CAPP) and the British Columbia Oil and Gas Commission. The primary work location for all Petroleum Engineer personnel shall be the buyer's facility in Canada Vancouver, with field visits as specified.
2. Qualifications. Each Petroleum Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Petroleum Engineering or a related discipline from an accredited Canadian or internationally recognized university. The Senior Petroleum Engineer (Line Item 1) must possess a minimum of fifteen (15) years of progressive experience in reservoir engineering and be a licensed Professional Engineer (P.Eng.) in the Province of British Columbia. All assigned Petroleum Engineer staff must provide proof of professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence.
3. Compliance & Regulatory. The vendor shall ensure that all Petroleum Engineer activities comply with the Canada Vancouver municipal bylaws, the British Columbia Occupational Health and Safety Regulation, and all applicable federal and provincial environmental legislation. The vendor is responsible for obtaining any necessary permits, site access clearances, and environmental impact assessments prior to commencing fieldwork in the Canada Vancouver area.
4. Payment & Invoicing. Invoices shall be submitted monthly in arrears to the buyer's accounts payable department in Canada Vancouver. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All amounts are denominated in Canadian Dollars (CAD). Late payments shall accrue interest at the rate prescribed under the British Columbia Late and Interest on Payments to the Government Act.
5. Intellectual Property. All reports, models, simulations, and technical deliverables produced by the Petroleum Engineer team under this Purchase Order shall become the sole property of Northwest Energy Solutions Inc. upon full payment. The vendor retains the right to use anonymized, non-proprietary methodologies for internal training purposes only.
6. Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the effective date of termination. The vendor shall return all company data, files, and access credentials within five (5) business days.
7. Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising hereunder shall be resolved through binding arbitration in Vancouver, British Columbia, Canada, in accordance with the rules of the British Columbia Commercial Arbitration Society.
8. Insurance & Indemnification. The vendor shall maintain comprehensive general liability insurance, professional indemnity insurance, and workers' compensation coverage as required by British Columbia law. The vendor shall indemnify and hold harmless the buyer against any claims, losses, or damages arising from the negligence or willful misconduct of the Petroleum Engineer personnel assigned under this Purchase Order.
