This Purchase Order is issued by Shanghai PetroEnergy Development Co., Ltd. (hereinafter referred to as the "Buyer") to Global Petroleum Engineering Solutions Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide comprehensive technical services in support of the Buyer's offshore and onshore hydrocarbon exploration and production operations located in and around the China Shanghai region and the East China Sea basin.
The Petroleum Engineer engaged under this Purchase Order shall be responsible for, but not limited to, the following duties and deliverables:
- Conducting reservoir characterization, wellbore trajectory analysis, and production optimization studies for the Buyer's active fields in the China Shanghai offshore sector.
- Preparing and reviewing well completion designs, hydraulic fracturing programs, and enhanced oil recovery (EOR) strategies in compliance with the National Energy Administration of China (NEA) regulations.
- Providing monthly technical reports and quarterly performance assessments to the Buyer's senior management team based in China Shanghai.
- Supervising and coordinating with local drilling contractors, mud engineers, and geologists operating within the China Shanghai jurisdiction.
- Ensuring all engineering deliverables meet the standards set forth by the China Petroleum and Chemical Industry Association (CPCIA) and applicable ISO 9001 quality management requirements.
- Participating in HAZOP studies, risk assessments, and environmental impact evaluations as mandated by the Shanghai Municipal Environmental Protection Bureau.

- Payment shall be made in Chinese Yuan (CNY) via bank transfer to the Supplier's designated account in China Shanghai.
- 30% advance payment upon execution of this Purchase Order.
- Monthly progress payments of 50% of the monthly service value, due within 15 business days of invoice submission.
- Final payment of 20% upon successful completion of all deliverables and acceptance by the Buyer's technical committee in China Shanghai.
- All invoices must reference this Purchase Order number (PO-2025-SH-PE-0472) and include the Supplier's unified social credit code.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
- The Petroleum Engineer assigned under this Purchase Order must hold a valid professional engineering license recognized by the China Petroleum Engineering Association and possess a minimum of ten (10) years of relevant experience in hydrocarbon reservoir engineering.
- The Supplier warrants that the Petroleum Engineer shall comply with all local labor regulations, work permit requirements, and safety protocols applicable in China Shanghai and the East China Sea operational zones.
- Confidentiality: All data, well logs, reservoir models, and proprietary information shared under this Purchase Order shall be treated as strictly confidential. The Supplier shall not disclose any such information to third parties without prior written consent from the Buyer.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government regulatory changes in China Shanghai, or pandemics.
- This Purchase Order shall remain valid for a period of twelve (12) months from the Required Start Date, unless terminated earlier by mutual written agreement or in accordance with the termination clauses herein.
- The Supplier shall maintain professional indemnity insurance with a minimum coverage of CNY 5,000,000 for the duration of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Petroleum Engineer in China Shanghai. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
