This Purchase Order authorizes the engagement of a qualified Petroleum Engineer to provide specialized technical consulting services for the Cusiana-Chichimene field development project located in the Llanos Basin, with primary coordination and reporting conducted from the company's headquarters in Colombia Bogotá. The Petroleum Engineer shall be responsible for reservoir modeling, well performance analysis, production forecasting, and technical oversight of drilling and completion operations in compliance with ANH (Agencia Nacional de Hidrocarburos) regulations and Colombian hydrocarbon law (Ley 1753 de 2015).

All prices are expressed in Colombian Pesos (COP). Equivalent in USD at the exchange rate of 3,950 COP/USD: approximately USD 167,865.32. Prices are firm for the duration of this Purchase Order unless renegotiated in writing.

Validity: This Purchase Order is valid for a period of six (6) months from the date of issue, commencing July 1, 2025, and concluding December 31, 2025, unless extended by mutual written agreement.
Payment Terms: Payment shall be made via bank transfer (transferencia electrónica) to the account designated by the Petroleum Engineer within fifteen (15) calendar days following receipt of a valid invoice and acceptance of the corresponding monthly deliverable. Invoices must include NIT, concept, and IVA breakdown per Colombian tax regulations (DIAN).
Place of Performance: Primary coordination, reporting, and administrative functions shall be conducted from the buyer's offices in Colombia Bogotá. Field work shall be performed at the Cusiana-Chichimene operating area, Meta Department, Colombia. The Petroleum Engineer shall maintain a base of operations in Bogotá D.C. for at least three (3) days per week.
Deliverables: The Petroleum Engineer shall submit monthly progress reports, quarterly reservoir performance summaries, and a final comprehensive technical report upon contract expiration. All deliverables shall be provided in both Spanish and English.
Regulatory Compliance: The Petroleum Engineer warrants full compliance with all applicable Colombian regulations, including but not limited to ANH technical standards, environmental permits (Licencia Ambiental), and labor regulations (Código Sustantivo del Trabajo). The Petroleum Engineer shall maintain valid professional registration with the C.C.T. Bogotá throughout the contract term.
Confidentiality: All technical data, reservoir information, well logs, and proprietary operational details shared under this Purchase Order are classified as confidential. The Petroleum Engineer shall not disclose such information to third parties without prior written consent from Andes Energy Solutions S.A.S.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Petroleum Engineer shall be compensated for all services rendered up to the effective date of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any disputes shall be resolved through the competent courts of Bogotá D.C., Colombia.
Insurance: The Petroleum Engineer shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of COP 500,000,000 for the duration of the engagement.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions affecting the hydrocarbon sector in Colombia, or pandemics, provided written notice is given within five (5) business days.

This Purchase Order constitutes a binding commitment upon signature by both parties. The engagement of the Petroleum Engineer under this document is subject to the terms outlined herein and the applicable Colombian legal framework governing professional services contracts in the hydrocarbon sector.
