1. Scope of Purchase Order
This Purchase Order is issued by Nile Delta Energy & Resources S.A.E., headquartered in Egypt Alexandria, to procure the professional services of a qualified Petroleum Engineer along with associated technical equipment and software licenses required for the ongoing offshore and onshore exploration project in the Western Mediterranean Basin. The Petroleum Engineer shall be responsible for reservoir characterization, well planning, production optimization, and geological modeling tasks as specified in the attached Statement of Work (SOW-PE-2025-11). All services and deliverables under this Purchase Order shall be executed in accordance with the regulatory standards set forth by the Egyptian General Petroleum Corporation (EGPC) and the Egyptian Environmental Affairs Agency (EEAA) operating within Egypt Alexandria and its surrounding jurisdictions.

3. Delivery & Commencement Details
All professional services under this Purchase Order shall commence no later than 1 July 2025. The Petroleum Engineer personnel shall report to the Nile Delta Energy & Resources S.A.E. office located in the Smouha District of Egypt Alexandria for onboarding, safety induction, and project orientation. Physical equipment items (Items 04 and 05) shall be delivered to the Egypt Alexandria facility within 21 calendar days of the Purchase Order acceptance date. The supplier shall coordinate all logistics, customs clearance, and local transport within Egypt Alexandria through licensed freight operators registered with the Alexandria Port Authority.
4. Terms & Conditions
4.1 Payment Terms: Payment shall be made in three equal installments via bank transfer to the supplier's designated account. The first installment (33.33%) is due upon Purchase Order acceptance and commencement of services. The second installment (33.33%) is due at the six-month milestone upon satisfactory delivery of interim reports by the Petroleum Engineer. The final installment (33.34%) is due upon project completion and final acceptance of all deliverables. All payments are denominated in Egyptian Pounds (EGP) and subject to applicable Egyptian tax regulations.
4.2 Performance Standards: The Petroleum Engineer shall adhere to all technical specifications outlined in SOW-PE-2025-11 and shall comply with the Egyptian Petroleum Law No. 19 of 1975 (as amended), EGPC operational directives, and international best practices in petroleum engineering. Failure to meet performance benchmarks as defined in the SOW shall entitle the buyer to withhold payment or terminate this Purchase Order with 30 days' written notice.
4.3 Confidentiality & Data Protection: All geological data, reservoir models, well logs, and proprietary information accessed by the Petroleum Engineer during the course of this Purchase Order shall remain the exclusive property of Nile Delta Energy & Resources S.A.E. The supplier and its Petroleum Engineer personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work in Egypt Alexandria.
4.4 Health, Safety & Environment (HSE): The Petroleum Engineer shall comply with all HSE protocols mandated by the Egyptian Environmental Affairs Agency and the Alexandria Governorate's industrial safety regulations. The supplier shall maintain valid HSE certifications and shall provide personal protective equipment (PPE) for all field operations conducted in the Egypt Alexandria coastal and offshore zones.
4.5 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to arbitration under the rules of the Egyptian Arbitration Center, with the seat of arbitration in Egypt Alexandria. The governing law of this Purchase Order shall be the laws of the Arab Republic of Egypt.
4.6 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting Egypt Alexandria. The affected party shall notify the other in writing within 72 hours of the occurrence.
5. Acceptance & Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Petroleum Engineer services and associated technical resources in Egypt Alexandria, effective from the date of the last signature.
