This Purchase Order is issued by Nile Delta Energy & Resources S.A.E. to Pharaoh Petroleum Consulting Group Ltd. for the procurement of specialized professional services rendered by a qualified Petroleum Engineer to support the ongoing exploration and production operations in the Egypt Cairo metropolitan area and surrounding upstream sites. The Petroleum Engineer engaged under this Purchase Order shall perform the following duties within the Egypt Cairo operational perimeter:
- Conduct detailed reservoir engineering analyses including relative permeability studies, pressure depletion modeling, and water-cut prediction for all active wells under the Egypt Cairo concession.
- Prepare monthly technical reports summarizing production data, well performance metrics, and recommendations for operational adjustments specific to the Egypt Cairo field conditions.
- Coordinate with the Egyptian General Petroleum Corporation (EGPC) and the Egyptian Environmental Affairs Agency (EEAA) to ensure full regulatory compliance for all Petroleum Engineer activities conducted in Egypt Cairo.
- Develop and maintain a comprehensive digital twin model of the Egypt Cairo reservoir system, updated quarterly with the latest production and seismic data.
- Provide emergency technical consultation within 24 hours for any well integrity or production anomaly occurring at Egypt Cairo sites.
- Deliver a final comprehensive Petroleum Engineer technical dossier upon project completion, including all simulation outputs, risk assessments, and long-term production forecasts for the Egypt Cairo asset portfolio.
4.1 Payment Terms: Payment shall be made within 30 (thirty) calendar days of receipt of a valid tax invoice from the Supplier. Payment shall be processed via bank transfer to the account designated by Pharaoh Petroleum Consulting Group Ltd. All payments are denominated in Egyptian Pounds (EGP) and subject to applicable Egyptian withholding tax regulations.
4.2 Performance Period: The services described in this Purchase Order shall be performed commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement between the parties.
4.3 Qualification Requirements: The Petroleum Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Petroleum Engineering from an accredited Egyptian or internationally recognized university, possess a valid professional license issued by the Egyptian Engineers Syndicate, and demonstrate a minimum of ten (10) years of relevant experience in upstream petroleum operations within Egypt Cairo or equivalent Middle Eastern basins.
4.4 Confidentiality: All data, reports, and technical information generated under this Purchase Order pertaining to Egypt Cairo operations shall be treated as strictly confidential. The Petroleum Engineer and the Supplier shall execute a separate Non-Disclosure Agreement (NDA) prior to commencing any work.
4.5 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Cairo in accordance with the rules of the Egyptian Arbitration Center.
4.6 Termination: Either party may terminate this Purchase Order with 60 (sixty) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the effective date of termination, as verified by the Petroleum Engineer's final progress report.
4.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting Egypt Cairo operations, or civil unrest.
This Purchase Order is issued and authorized by the undersigned on behalf of Nile Delta Energy & Resources S.A.E. The Supplier acknowledges receipt and acceptance of this Purchase Order by signing below, confirming that the scope, pricing, and terms are agreed upon for the provision of Petroleum Engineer services in Egypt Cairo.
