2. Scope of Procurement – Petroleum Engineer Services
This Purchase Order is issued by Frankfurt Energy Solutions GmbH for the engagement of a qualified Petroleum Engineer to provide specialized technical consulting and operational oversight services. The Petroleum Engineer shall be assigned to support the buyer's upstream and midstream energy infrastructure projects located in and around Germany Frankfurt, including the Frankfurt metropolitan area and the broader Hesse region. The services encompass reservoir analysis, well integrity assessments, production optimization, and compliance review in accordance with German federal and state energy regulations.

4. Delivery and Performance Location
All services under this Purchase Order shall be performed primarily at the buyer's operational facilities in Germany Frankfurt, specifically at the Rhein-Main Energy Hub, Industriestraße 42, 60329 Frankfurt am Main. The Petroleum Engineer is expected to be on-site a minimum of four (4) days per week, with remote work permitted on the fifth day subject to prior written approval by the buyer's project manager. Any additional site visits to secondary locations within the Frankfurt metropolitan area or the Hesse state shall be coordinated through the buyer's operations team.
5. Terms and Conditions
5.1 Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the supplier. Invoices must reference this Purchase Order number (FES-2025-04871) and include the supplier's USt-IdNr. for VAT purposes. Payment shall be executed via SEPA bank transfer to the account designated by Continental Petroleum Consulting AG.
5.2 Performance Standards: The Petroleum Engineer shall adhere to all applicable German and European Union regulations governing petroleum operations, including the German Federal Mining Act (Bundesberggesetz), the Federal Immission Control Act (BImSchG), and relevant EU directives on energy infrastructure safety. All deliverables must meet the technical specifications outlined in Annex A of this Purchase Order.
5.3 Intellectual Property: All reports, models, simulations, and technical documentation produced by the Petroleum Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of Frankfurt Energy Solutions GmbH upon full payment. The supplier retains no right to reproduce or distribute such materials without prior written consent.
5.4 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, operational parameters, and commercial information exchanged in connection with this Purchase Order. This obligation survives the termination of the contract for a period of five (5) years.
5.5 Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In the event of material breach by the supplier, the buyer may terminate immediately without notice. Upon termination, the buyer shall pay for all services rendered up to the effective date of termination.
5.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
5.7 Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of EUR 2,000,000 per claim for the duration of the engagement. Proof of insurance shall be provided to the buyer prior to the commencement of services.
6. Acceptance and Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Petroleum Engineer in Germany Frankfurt. This document constitutes a binding agreement upon execution by both authorized representatives.
