Description of Procurement – Petroleum Engineer Services

This Purchase Order is issued by Ghana Petroleum Operations Limited (hereinafter referred to as the "Purchaser") to West African Energy Consulting Ltd. (hereinafter referred to as the "Vendor") for the engagement of a qualified Petroleum Engineer to provide specialized technical services in support of the Purchaser's upstream exploration and production activities in and around Ghana Accra and the adjacent offshore blocks in the Western Region. The Petroleum Engineer shall be responsible for reservoir evaluation, well performance analysis, production optimization, and technical advisory services as detailed in the line items below.

Note: All payments shall be made in Ghana Cedis (GHS) via bank transfer to the Vendor's designated account at Ecobank Ghana, Accra Branch. The Vendor is required to submit valid tax invoices bearing the Ghana Revenue Authority (GRA) invoice number for each payment cycle. The Petroleum Engineer assigned under this Purchase Order must hold a valid professional registration with the Engineering Council of Ghana and possess a current Ghana work permit if a foreign national. Terms and Conditions
  1. This Purchase Order is governed by the laws of the Republic of Ghana and the Petroleum Act, 2011 (Act 821), as amended. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 2099 (Act 668).
  2. The Vendor shall ensure that the Petroleum Engineer engaged under this Purchase Order maintains all necessary professional indemnity insurance with a minimum coverage of GHS 5,000,000.00 for the duration of the contract.
  3. Commencement of services is contingent upon the Vendor's submission of the Petroleum Engineer's curriculum vitae, professional certificates, Ghana work permit (if applicable), and a signed Non-Disclosure Agreement (NDA) to the Purchaser's Ghana Accra office no later than 25 June 2025.
  4. The Purchaser reserves the right to terminate this Purchase Order with 30 days' written notice if the Petroleum Engineer fails to meet the performance benchmarks outlined in the Statement of Work. Termination shall not affect any accrued payment obligations.
  5. All deliverables, reports, and technical data produced under this Purchase Order shall remain the exclusive property of Ghana Petroleum Operations Limited. The Vendor and the Petroleum Engineer shall not reproduce, distribute, or disclose such materials to any third party without prior written consent from the Purchaser.
  6. Payment terms: 30% advance upon execution of this Purchase Order, 40% upon completion of the Reservoir Performance Report and the 5-year Production Optimization Plan, and 30% upon final acceptance of all deliverables and completion of the 12-month service period. Payment shall be made within 21 business days of receipt of a valid invoice.
  7. The Vendor shall comply with all applicable health, safety, and environmental (HSE) regulations as enforced by the Ghana National Petroleum Corporation (GNPC) and the Environmental Protection Agency (EPA) of Ghana. The Petroleum Engineer must complete the Purchaser's site-specific HSE induction before accessing any operational facility.
  8. Force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions in Ghana Accra or the Western Region, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 48 hours.
  9. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Petroleum Engineer services and supersedes all prior negotiations, representations, or agreements, whether written or oral.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order for the engagement of a Petroleum Engineer in support of operations in Ghana Accra and the surrounding petroleum operating regions.
