This Purchase Order is issued by Deccan Energy Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to Subsurface Consulting Engineers LLP (hereinafter referred to as the "Supplier") for the engagement of a qualified and experienced Petroleum Engineer to provide specialized subsurface evaluation, reservoir modeling, and well-optimization services. The scope of this Purchase Order is strictly limited to professional petroleum engineering consultancy work to be performed at the Buyer's operational site located in India Bangalore, specifically at the Deccan Energy Research and Development Centre, Whitefield, India Bangalore.
The Petroleum Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline from a recognized Indian or international university, and shall possess a minimum of eight (8) years of progressive professional experience in reservoir characterization, production forecasting, and enhanced oil recovery (EOR) techniques. The Petroleum Engineer must be registered with the Indian Council of Technical Education (ICTE) and hold a valid professional engineering license issued under the jurisdiction of the State of Karnataka, India Bangalore.

- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India, with the jurisdiction of the competent courts in India Bangalore, Karnataka.
- The Petroleum Engineer assigned under this Purchase Order shall report to the Buyer's India Bangalore facility on all scheduled working days between 09:00 IST and 18:00 IST, Monday through Friday, excluding public holidays as notified by the Government of Karnataka.
- All deliverables produced by the Petroleum Engineer shall be submitted in both digital (PDF and native software formats) and hard-copy form to the Buyer's project manager at the India Bangalore site within the timelines specified in the project schedule annexed to this Purchase Order.
- Payment against this Purchase Order shall be made in three equal installments: 30% upon acceptance of this Purchase Order by the Supplier, 40% upon completion of the reservoir modeling and well performance analysis deliverables, and 30% upon final acceptance of the EOR feasibility study and closure of the engagement.
- The Supplier shall ensure that the Petroleum Engineer maintains all necessary professional indemnity insurance and statutory compliance as required under Indian labor and professional engineering regulations applicable in India Bangalore.
- Any modification, amendment, or cancellation of this Purchase Order shall be valid only upon written mutual consent of both parties, executed on stamp paper of appropriate value as per Karnataka state regulations.
- The Petroleum Engineer shall adhere to all health, safety, and environmental (HSE) protocols in force at the Buyer's India Bangalore operational premises and shall sign the Buyer's site-specific HSE acknowledgment form prior to commencing work.
- Confidentiality: All data, reservoir parameters, and proprietary information accessed by the Petroleum Engineer during the course of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written authorization from the Buyer.
- The Supplier shall bear all costs associated with the Petroleum Engineer's local transportation within India Bangalore for site visits, unless otherwise agreed in writing.
- This Purchase Order becomes effective upon signature by both parties and shall remain in force until the completion of all deliverables and final payment, unless terminated earlier in accordance with the termination clause herein.
By signing below, both parties acknowledge that this Purchase Order for the engagement of a Petroleum Engineer for services to be rendered in India Bangalore has been reviewed, understood, and accepted in its entirety. This document constitutes a binding commercial agreement between the Buyer and the Supplier for the scope described herein.
