This Purchase Order is issued by Al-Rafidain Energy & Infrastructure Company (AREIC) to Global Petroleum Solutions Ltd. (GPSL) for the procurement of specialized Petroleum Engineer professional services to be performed at the buyer's operational sites located in Iraq Baghdad and surrounding governorates. The engagement of a qualified Petroleum Engineer is required to support AREIC's ongoing reservoir management, well optimization, and production enhancement programs across the Baghdad metropolitan oil fields.

The Petroleum Engineer shall provide on-site and remote technical consultancy for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026. All deliverables, site visits, and technical assessments shall be conducted within the jurisdiction of Iraq Baghdad, with the primary work location at AREIC's Al-Mansour Operations Center.

5.1 This Purchase Order constitutes a binding agreement between AREIC and GPSL upon signature by both authorized representatives. All terms herein shall be governed by the laws of the Republic of Iraq, with specific reference to the Iraqi Petroleum Law No. 44 of 1997 and applicable regulations in Iraq Baghdad.

5.2 The Petroleum Engineer assigned to this contract must hold a minimum of a Master's degree in Petroleum Engineering or a related discipline, possess at least ten (10) years of progressive experience in reservoir engineering, and maintain valid professional licensure recognized by the Iraqi Ministry of Oil. The engineer must be physically present in Iraq Baghdad for no fewer than twenty (20) working days per calendar month.

5.3 Payment shall be made in monthly installments within thirty (30) days of receipt of an approved invoice. Payment shall be processed via wire transfer to the supplier's designated bank account in Baghdad, Iraq. All amounts are stated in United States Dollars (USD) and are subject to applicable Iraqi withholding tax as determined by the Iraqi Revenue Authority.

5.4 GPSL shall ensure that the Petroleum Engineer complies with all health, safety, and environmental (HSE) protocols mandated by AREIC and the Iraqi Ministry of Oil. Failure to comply shall result in immediate suspension of services and potential termination of this Purchase Order.

5.5 All technical reports, reservoir models, and data generated by the Petroleum Engineer during the course of this engagement shall remain the exclusive property of AREIC. No data pertaining to Iraq Baghdad oil field operations shall be disclosed to third parties without written consent.

5.6 Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, GPSL shall be compensated for services rendered up to the effective date of termination, less any applicable penalties.

5.7 Disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the rules of the Iraqi Arbitration Center. The language of arbitration shall be English.

The Petroleum Engineer shall commence all services on 1 July 2025 at the AREIC Al-Mansour Operations Center, Baghdad, Iraq. Monthly progress reports shall be submitted by the 5th business day of each subsequent month. A comprehensive annual performance review shall be conducted in June 2026 to assess the Petroleum Engineer's contributions to AREIC's production targets in Iraq Baghdad.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Petroleum Engineer services in Iraq Baghdad.
