This Purchase Order is issued by East Asia Energy Solutions K.K. (hereinafter referred to as the "Buyer") to Global Petroleum Consulting Group Ltd. (hereinafter referred to as the "Vendor") for the procurement of specialized Petroleum Engineer professional services to be rendered at the Buyer's principal operations facility located in Japan Tokyo, as well as at associated field sites within the Kanto region. The Petroleum Engineer engaged under this Purchase Order shall provide comprehensive technical expertise in reservoir characterization, well optimization, production forecasting, and subsurface modeling for the Buyer's onshore and offshore petroleum assets situated in and around the Japan Tokyo metropolitan operational zone.

2. Scope of Services

The Petroleum Engineer contracted under this Purchase Order shall perform the following duties within the Japan Tokyo operational framework:

  • Conduct detailed reservoir simulation and volumetric analysis for all active petroleum assets managed from the Japan Tokyo headquarters.
  • Develop and maintain well performance models, including decline curve analysis and production optimization strategies.
  • Prepare monthly and quarterly technical reports for the Japan Tokyo operations management team, detailing reservoir performance metrics and recommended interventions.
  • Coordinate with geologists, geophysicists, and drilling engineers at the Japan Tokyo field office to ensure integrated subsurface interpretation.
  • Provide technical oversight for well workover programs and stimulation treatments scheduled throughout the contract period.
  • Ensure full compliance with all petroleum engineering standards, safety regulations, and environmental compliance requirements applicable within Japan Tokyo and the broader Kanto prefectural jurisdiction.
  • Attend weekly operational review meetings at the Japan Tokyo main office (Shibuya District) and provide on-site support at field locations as directed by the project manager.

4. Terms and Conditions
  • 4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both authorized representatives. All services described herein shall be performed in accordance with the professional standards expected of a qualified Petroleum Engineer operating within the Japan Tokyo energy sector.
  • 4.2 The Petroleum Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of progressive experience in petroleum engineering, possess a valid professional engineering license recognized in Japan, and demonstrate prior experience with assets of comparable scale to those managed from Japan Tokyo.
  • 4.3 Payment terms: Net 45 days from receipt of invoice. Invoices shall be submitted monthly by the 5th business day. All payments shall be made in Japanese Yen (JPY) via bank transfer to the Vendor's designated account in Japan Tokyo.
  • 4.4 The Vendor shall ensure that the Petroleum Engineer maintains all necessary professional indemnity insurance, liability coverage, and occupational safety certifications required for operations in Japan Tokyo and surrounding field sites.
  • 4.5 Any modification, amendment, or extension of this Purchase Order must be documented in writing and signed by both parties. Verbal agreements regarding the scope of Petroleum Engineer services in Japan Tokyo shall not be binding.
  • 4.6 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Petroleum Engineer fails to meet the performance benchmarks outlined in the attached Service Level Agreement (SLA).
  • 4.7 All data, models, reports, and intellectual property generated by the Petroleum Engineer in the course of fulfilling this Purchase Order shall remain the exclusive property of the Buyer and shall be stored at the Japan Tokyo data center in compliance with Japan's Personal Information Protection Act (PIPA).
  • 4.8 Governing law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to Petroleum Engineer services in Japan Tokyo shall be resolved through arbitration at the Japan Commercial Arbitration Association (JCAA) in Tokyo.
NOTE: The Petroleum Engineer engaged under this Purchase Order is required to be physically present at the Japan Tokyo headquarters (Shibuya-ku) for a minimum of four (4) days per week. Remote work from other locations within Japan Tokyo may be permitted with prior written approval from the Buyer's Project Director. The Vendor is responsible for all visa, work permit, and residency documentation required for the Petroleum Engineer to legally perform professional services in Japan. 5. Authorization and Acceptance

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Petroleum Engineer to provide professional services at the Japan Tokyo operations facility and associated field sites.
