This Purchase Order is issued by Malaysia Energy Resources Sdn. Bhd. to procure the professional services of a qualified Petroleum Engineer to support the buyer's upstream exploration and production operations in the Malaysia Kuala Lumpur metropolitan area and surrounding offshore blocks. The Petroleum Engineer shall provide comprehensive technical oversight, reservoir analysis, well performance evaluation, and production optimization services in accordance with the specifications outlined below and in compliance with all applicable regulations of the Petroleum Development Act 1974 (Act 161) and the standards set forth by the Malaysian Petroleum Development Corporation (PETRONAS).

3.1 This Purchase Order is governed by the laws of Malaysia and shall be interpreted in accordance with the Contracts Act 1950. Any disputes arising from this Purchase Order relating to the engagement of the Petroleum Engineer shall be resolved through arbitration in Kuala Lumpur, Malaysia, in accordance with the rules of the Asian International Arbitration Centre (AIAC).
3.2 The Petroleum Engineer engaged under this Purchase Order must hold a valid professional registration with the Board of Engineers Malaysia (BEM) and possess a minimum of ten (10) years of demonstrated experience in upstream petroleum operations. All deliverables must be submitted to the buyer's project management office located in Malaysia Kuala Lumpur no later than the dates specified in the project schedule.
3.3 Payment shall be made via bank transfer to the account designated by the Seller within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Outstanding Debts (Interest) Act 1998 of Malaysia.
3.4 The Seller warrants that all Petroleum Engineer services rendered under this Purchase Order shall be performed with due professional care, skill, and in strict compliance with PETRONAS standards, OSHA Malaysia regulations, and the Environmental Quality Act 1974. The Petroleum Engineer shall maintain full professional indemnity insurance with a minimum coverage of MYR 5,000,000 for the duration of the engagement.
3.5 All intellectual property, data, and technical reports generated by the Petroleum Engineer in the course of fulfilling this Purchase Order shall remain the exclusive property of the Buyer. The Seller shall not disclose any confidential information pertaining to the buyer's reservoir data, well logs, or production figures to any third party without prior written consent.
3.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall be compensated for all Petroleum Engineer services rendered up to the effective date of termination, less any applicable deductions for incomplete deliverables.
3.7 This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Petroleum Engineer services and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter herein.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Petroleum Engineer professional services in Malaysia Kuala Lumpur.
