This Purchase Order is issued by Taranaki Basin Energy Solutions Ltd. (hereina referred to as the "Purchaser") to Meridian Petroleum Consulting Group (hereina referred to as the "Supplier") for the professional engagement of a qualified Petroleum Engineer to provide technical advisory, reservoir modelling, and well integrity assessment services. The scope of this Purchase Order covers the full-term engagement of the Petroleum Engineer as detailed in the line items below. All services shall be performed in accordance with the standards and regulations applicable in New Zealand Wellington and the broader New Zealand energy sector, including compliance with the Health and Safety at Work Act 2015, the Petroleum (Subsurface) (Greenhouse Gas Injection) Regulations 2008, and the relevant codes of practice issued by the New Zealand Petroleum and Minerals (NZP&M) authority.

The Petroleum Engineer engaged under this Purchase Order shall perform the following duties from the Supplier's principal office located in New Zealand Wellington:

  1. Conduct comprehensive reservoir simulation and volumetric analysis for the Purchaser's offshore hydrocarbon assets in the Taranaki Basin, reporting findings to the Purchaser's technical management team based in Wellington.
  2. Prepare and review well completion designs, casing programmes, and cementing plans in compliance with New Zealand petroleum industry standards.
  3. Develop and maintain the HSE management plan for all petroleum engineering operations, ensuring full alignment with the regulatory framework administered by NZP&M and the Wellington Regional Council.
  4. Lead the Carbon Capture and Storage (CCS) feasibility study, producing a final technical report suitable for submission to the New Zealand Government's Ministry of Business, Innovation and Employment.
  5. Attend all scheduled project review meetings at the Purchaser's Wellington headquarters no fewer than two (2) times per month.
  6. Provide written progress reports on the last business day of each calendar month.
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved in the courts of New Zealand Wellington, and both parties consent to the exclusive jurisdiction of the District Court of Wellington.
  2. Commencement Date: The Petroleum Engineer shall commence all services no later than 1 July 2025. The Supplier shall confirm the named Petroleum Engineer's credentials, professional registration with Engineers New Zealand, and relevant insurance certificates prior to the commencement date.
  3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Interest on Late Payments of Tax Claims Act 1997.
  4. Confidentiality: The Petroleum Engineer shall treat all data, reservoir models, well logs, and proprietary information as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  5. Insurance: The Supplier shall maintain professional indemnity insurance of no less than NZD $5,000,000 and public liability insurance of no less than NZD $10,000,000 for the duration of this Purchase Order.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered up to the effective date of termination.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the New Zealand Wellington region, government-imposed restrictions, or industrial action.
  8. Compliance: The Supplier warrants that the Petroleum Engineer holds a valid New Zealand professional engineering registration and that all work shall comply with the New Zealand Petroleum and Minerals Act 1998 and associated regulations.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This Purchase Order constitutes a binding agreement for the engagement of the Petroleum Engineer for the services described herein, to be delivered from the Supplier's premises in New Zealand Wellington.
