This Purchase Order is issued by NigerDelta Energy Solutions Ltd. (hereinafter referred to as the "Buyer") to GeoCore Engineering & Consulting Services Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer and the provision of associated technical services, equipment, and deliverables. This Purchase Order governs all terms, conditions, scope of work, and financial obligations related to the Petroleum Engineer assignment to be carried out within the Nigeria Lagos operational zone, specifically at the Buyer's onshore and offshore processing facilities located along the Lagos Lagoon corridor and the Apapa industrial district.

All services, equipment deliveries, and on-site activities under this Purchase Order shall be performed at the Buyer's designated facilities in Nigeria Lagos, with the primary work location being the Apapa Onshore Processing Plant, Plot 7, Apapa Industrial Estate, Lagos. The Petroleum Engineer shall report to the site no later than 07:00 hours on each working day (Monday through Saturday) and shall maintain a minimum on-site presence of 90% throughout the contract period. Any off-site work, including laboratory analysis or vendor coordination, must be pre-approved in writing by the Buyer's Project Director. Payment for this Purchase Order shall be made in Nigerian Naira (NGN) via bank transfer to the Supplier's designated account. The Buyer shall issue a 30% advance payment upon execution of this Purchase Order. The remaining 70% shall be disbursed in two equal monthly installments at the end of Month 3 and Month 6, subject to satisfactory completion of milestones as verified by the Buyer's Quality Assurance team. All invoices must reference Purchase Order No. PO/NDEL/2025/04782. Late payments shall attract a penalty of 1.5% per month, in accordance with the Companies and Allied Matters Act (CAMA) 2020 and applicable Nigerian commercial law.
  • The Petroleum Engineer engaged under this Purchase Order must hold a valid professional registration with the Nigerian Institution of Mining and Geology (NIMG) and a current Practicing Certificate issued by the Council for the Regulation of Engineering in Nigeria (COREN).
  • The Supplier shall ensure that the Petroleum Engineer complies with all Health, Safety, and Environment (HSE) protocols mandated by the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) and the Nigeria LNG regulatory framework applicable to operations in Nigeria Lagos.
  • Any change in scope, extension of the contract period, or substitution of the Petroleum Engineer must be documented in a formal Change Order signed by both parties before implementation.
  • The Supplier warrants that all equipment and software delivered under this Purchase Order shall be free from defects, fully calibrated, and fit for purpose in the operational environment of Nigeria Lagos, including high-humidity and corrosive coastal conditions.
  • This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
  • Confidentiality: All data, reports, and proprietary information generated by the Petroleum Engineer in the course of this Purchase Order shall remain the exclusive property of the Buyer. The Supplier and the Petroleum Engineer shall not disclose such information to any third party without prior written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the Petroleum Engineer engagement in Nigeria Lagos. This document constitutes a binding commercial agreement upon countersignature. For and on behalf of the Buyer:
