1. Scope of Work — Petroleum Engineer Services

This Purchase Order is issued by Indus Basin Energy & Resources Corporation (IBERC) to GeoTech Petroleum Consulting (Pvt.) Ltd. for the engagement of a qualified Petroleum Engineer to provide specialized technical services in support of IBERC's upstream exploration and production operations. The Petroleum Engineer shall be physically stationed at IBERC's operational headquarters in Pakistan Islamabad and shall report directly to the Chief Reservoir Manager. The scope encompasses reservoir modeling, well performance analysis, production optimization, and technical advisory services for all active and planned drilling campaigns within the Indus Basin and surrounding geological formations.

3. Terms and Conditions
  1. Qualification Requirements: The Petroleum Engineer assigned under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline from a recognized university in Pakistan or abroad, along with a valid license issued by the Pakistan Engineering Council (PEC). A minimum of eight (8) years of progressive experience in upstream petroleum operations is mandatory.
  2. Place of Performance: All services under this Purchase Order shall be rendered primarily at IBERC's operational offices located in Pakistan Islamabad. The Petroleum Engineer shall be required to maintain a minimum of five (5) days per week on-site presence at the Islamabad facility. Travel to field sites within the Islamabad Capital Territory and adjacent provinces shall be at IBERC's expense.
  3. Intellectual Property: All data, models, reports, and technical deliverables produced by the Petroleum Engineer in the course of this engagement shall be the exclusive property of IBERC. The vendor shall not reproduce, distribute, or utilize such materials for any third party without prior written consent from IBERC management in Islamabad.
  4. Confidentiality: The Petroleum Engineer and all associated personnel shall be bound by a strict Non-Disclosure Agreement (NDA) covering all geological, reservoir, production, and commercial data pertaining to IBERC's operations in Pakistan. Breach of confidentiality shall result in immediate termination of this Purchase Order and legal action under the Pakistan Contract Act, 1872.
  5. Payment Schedule: IBERC shall process monthly payments within thirty (30) calendar days of receiving a valid tax-compliant invoice from GeoTech Petroleum Consulting. Invoices must be submitted to the Accounts Department at IBERC Islamabad headquarters by the 10th of the following month. Late payments beyond 45 days shall attract interest at the prevailing State Bank of Pakistan (SBP) base rate.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, non-performance, or failure to meet the technical KPIs outlined in the Statement of Work, IBERC reserves the right to terminate immediately without penalty. Upon termination, the Petroleum Engineer shall hand over all work-in-progress materials to IBERC within seven (7) days.
  7. Compliance with Local Law: All services shall be performed in full compliance with the laws of the Islamic Republic of Pakistan, including but not limited to the Pakistan Petroleum Act, 2014, the Pakistan Engineering Council Act, 1962, and all applicable regulations of the Pakistan Petroleum Corporation (PPC) and the Energy and Mineral Regulatory Authority (EMRA) Islamabad.
  8. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation between the parties in Islamabad. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act, 1940, with the seat of arbitration in Islamabad, Pakistan.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting the Islamabad region.
  10. Validity of Purchase Order: This Purchase Order shall remain valid and enforceable from the date of issue until the completion of the project term or its earlier termination, whichever occurs first. Amendments to this Purchase Order shall only be valid if executed in writing and signed by authorized representatives of both parties in Islamabad.
4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Petroleum Engineer in Pakistan Islamabad. This document constitutes a binding contractual agreement between the parties.
