1. Description of Procurement – Petroleum Engineer ServicesThis Purchase Order is issued by Indus Energy & Resources (Pvt.) Ltd. for the engagement of a qualified Petroleum Engineer to provide specialized technical consulting services in support of the KHI-RES-2025-Phase II exploration and production project. The Petroleum Engineer shall be responsible for reservoir modeling, well performance analysis, production optimization, and technical oversight of all subsurface operations conducted within the operational boundaries of Pakistan Karachi and its surrounding offshore and onshore concessions. The scope of work encompasses a minimum of twelve (12) consecutive months of full-time professional engagement, with the possibility of extension subject to mutual written agreement between both parties.

The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Petroleum Engineering (or a closely related discipline such as Geology or Chemical Engineering with a specialization in petroleum systems) from a recognized university. A Master's degree or PhD is preferred. The candidate must possess a minimum of ten (10) years of progressive professional experience in reservoir engineering, well completion design, or production optimization, with at least five (5) years of experience specifically in the geological and operational context of Pakistan Karachi and the Sindh Basin. The Petroleum Engineer must be a registered member of the Pakistan Engineering Council (PEC) and hold a valid Professional Engineer (PE) license. Prior experience with offshore operations in the Karachi coastal region will be considered a significant advantage.
4. Payment Terms4.1 Payment shall be made in monthly installments equivalent to one-twelfth (1/12) of the total contract value, i.e., PKR 843,750 per month, payable within fifteen (15) calendar days of receipt of a valid tax invoice from the vendor.
4.2 A retention of ten percent (10%) shall be withheld from each monthly payment and released in full upon satisfactory completion of all deliverables and the final acceptance report, no later than thirty (30) days after the end of the contract period.
4.3 All payments shall be made via bank transfer to the vendor's designated account in a commercial bank operating in Pakistan Karachi. The vendor shall provide a Sales Tax (ST) invoice compliant with the Federal Board of Revenue (FBR) regulations of Pakistan.
4.4 Any additional work beyond the scope defined in Section 2 shall require a written amendment to this Purchase Order and shall be billed at the agreed unit rates or at mutually negotiated rates.
5. Terms and Conditions5.1 This Purchase Order is governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Pakistan Karachi in accordance with the Arbitration Act, 1940.
5.2 The Petroleum Engineer shall comply with all applicable health, safety, and environmental (HSE) regulations enforced by the Sindh Environmental Protection Agency (SEPA) and the Pakistan Energy Regulatory Authority (ERA).
5.3 The vendor shall maintain professional indemnity insurance with a minimum coverage of PKR 50,000,000 for the duration of this Purchase Order. A certificate of insurance shall be submitted prior to commencement of work.
5.4 All data, reports, models, and intellectual property generated by the Petroleum Engineer in the course of this engagement shall be the exclusive property of Indus Energy & Resources (Pvt.) Ltd. The vendor shall not disclose, publish, or share any proprietary information with third parties without prior written consent.
5.5 Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach. Upon termination, the vendor shall be compensated for all work satisfactorily completed up to the date of termination.
5.6 The Petroleum Engineer shall report to the Project Director at the Indus Energy & Resources headquarters located in Pakistan Karachi on a minimum of five (5) days per week. Remote work is not permitted for on-site tasks involving wellhead inspections or field data collection.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Petroleum Engineer services in Pakistan Karachi and shall remain in full force and effect until the completion of all obligations herein.
