This Purchase Order is issued by Northwestern Energy Operations LLC (hereinafter referred to as the "Buyer") to Arctic Subsurface Solutions JSC (hereinafter referred to as the "Seller") for the provision of specialized Petroleum Engineer services in connection with the Barents Shelf Reservoir Optimization Project. The Seller shall assign a qualified Petroleum Engineer, or a team of Petroleum Engineers, to perform subsurface analysis, reservoir modeling, production optimization, and well performance evaluation for the Buyer's operating assets.
The Petroleum Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Petroleum Engineering or a related geoscience discipline, possess no fewer than ten (10) years of progressive experience in reservoir engineering, and demonstrate proficiency in industry-standard software including Petrel, Eclipse, CMG, and iRes. The Petroleum Engineer shall be based primarily at the Seller's office in Russia Saint Petersburg, with periodic deployment to field operations sites as directed by the Buyer's project management team.

3.1 Payment Terms: Payment for services rendered under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the Seller's designated account. Invoices shall be submitted monthly by the 5th business day following the end of each calendar month. Payment shall be due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 0.1% per calendar day.
3.2 Commencement and Duration: Services under this Purchase Order shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, concluding on 31 July 2026, unless extended by mutual written agreement of both parties. The Petroleum Engineer shall be available for onboarding and project familiarization during the week of 28 July 2025 at the Seller's premises in Russia Saint Petersburg.
3.3 Performance Standards: The Petroleum Engineer shall deliver all technical reports, simulation models, and analytical deliverables in accordance with the project schedule attached as Appendix A to this Purchase Order. All work products shall comply with Russian Federation regulatory requirements, including but not limited to the provisions of the Russian Mining Code and applicable Rosnedordrug oversight standards.
3.4 Confidentiality: All data, reservoir parameters, production figures, and proprietary information exchanged in connection with this Purchase Order shall be treated as strictly confidential. The Petroleum Engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work. Confidentiality obligations shall survive the termination of this Purchase Order for a period of five (5) years.
3.5 Intellectual Property: All deliverables, models, reports, and analyses produced by the Petroleum Engineer specifically for the Buyer under this Purchase Order shall be the exclusive property of the Buyer. The Seller retains ownership of pre-existing methodologies and general-purpose tools, subject to a perpetual, irrevocable license for the Buyer's internal use.
3.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Seller, the Buyer may terminate with fourteen (14) days' notice. Upon termination, the Seller shall deliver all work-in-progress and shall be compensated for services rendered up to the effective date of termination.
3.7 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Region, Russia Saint Petersburg, in the Russian language.
3.8 Health, Safety, and Environment (HSE): The Petroleum Engineer shall comply with all HSE policies of the Buyer and applicable Russian federal and regional regulations. The Seller shall ensure that the Petroleum Engineer holds valid medical clearance and has completed all required safety inductions prior to any field deployment from the Russia Saint Petersburg base.

All references to "Russia Saint Petersburg" in this document denote the city of Saint Petersburg, Russian Federation, as the primary operational and administrative base for the Petroleum Engineer services described herein.
