1. Description of Services – Petroleum Engineer Procurement

This Purchase Order is issued by West Africa Energy Resources S.A. (hereinafter referred to as the "Buyer") to Global Petroleum Engineering Solutions Ltd. (hereinafter referred to as the "Vendor") for the procurement and deployment of a qualified Petroleum Engineer to provide specialized technical services for the Buyer's hydrocarbon exploration and production operations located in Senegal Dakar and the surrounding offshore and onshore sites. The Petroleum Engineer shall be responsible for reservoir evaluation, well performance analysis, production optimization, and technical oversight of all drilling and completion activities conducted under the Buyer's operating license in the Senegal Dakar region.

2. Scope of Work and Technical Requirements

The Petroleum Engineer engaged under this Purchase Order shall perform the following duties in Senegal Dakar and associated operational sites:

  • Conduct comprehensive reservoir characterization and static/dynamic modeling for all active wells in the Senegal Dakar concession area.
  • Provide real-time technical advisory during all drilling, completion, and workover operations, ensuring adherence to international best practices and Senegalese regulatory standards.
  • Prepare monthly production reports, decline curve analyses, and recovery factor assessments for submission to the Senegalese Ministry of Mines and Hydrocarbons.
  • Coordinate with the Buyer's HSE team to ensure all petroleum engineering activities in Senegal Dakar comply with the national environmental code and offshore safety regulations.
  • Maintain and update the integrated reservoir management plan, incorporating new data from seismic surveys, well logs, and production tests.
  • Supervise junior engineering staff and provide technical training to the Buyer's local team in Senegal Dakar on advanced petroleum engineering methodologies.

3. Payment Terms

  1. Payment shall be made in US Dollars (USD) via wire transfer to the Vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice.
  2. Monthly service fees (Items 1.1, 1.2, 1.5, and 1.6) shall be invoiced on the first business day of each month for the preceding month's services rendered in Senegal Dakar.
  3. Quarterly deliverable payments (Item 1.3) shall be invoiced upon Buyer's written acceptance of the technical report, not to exceed fifteen (15) business days from submission.
  4. A mobilization advance of ten percent (10%) of the total Purchase Order value shall be disbursed within ten (10) business days of the Vendor's written confirmation of the Petroleum Engineer's availability and visa approval for Senegal.
  5. All applicable taxes, duties, and levies under Senegalese law, including the Taxe sur la Valeur Ajoutée (TVA) at 18%, shall be the responsibility of the Buyer unless otherwise stipulated by the applicable tax treaty between Senegal and the United States.

4. Terms and Conditions

  1. Compliance with Senegalese Law: The Petroleum Engineer shall comply with all applicable laws, regulations, and administrative orders of the Republic of Senegal, including but not limited to the Code du Travail, the Code des Hydrocarbures, and all directives issued by the Direction Générale des Mines et de la Géologie in Dakar.
  2. Work Permit and Visa: The Vendor shall ensure that the Petroleum Engineer obtains all necessary work permits, residence visas, and professional registrations required to legally perform petroleum engineering services in Senegal Dakar prior to the commencement date specified in this Purchase Order.
  3. Confidentiality: All technical data, reservoir information, well logs, and operational details pertaining to the Buyer's assets in Senegal Dakar shall be treated as strictly confidential. The Petroleum Engineer shall execute a Non-Disclosure Agreement (NDA) prior to accessing any proprietary information.
  4. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with thirty (30) days' notice. Upon termination, the Vendor shall ensure an orderly transition of all petroleum engineering documentation and ongoing work in Senegal Dakar.
  5. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest in Senegal, government sanctions, or pandemics affecting operations in Dakar.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration under the rules of the OHADA Arbitration Court seated in Dakar, Senegal. The language of arbitration shall be French, with English translations provided for all technical petroleum engineering documents.
  7. Health and Safety: The Petroleum Engineer shall adhere to all HSE protocols established by the Buyer for operations in Senegal Dakar, including mandatory safety inductions, personal protective equipment (PPE) requirements, and emergency evacuation procedures for both onshore and offshore sites.

5. Acceptance and Authorization

This Purchase Order becomes effective upon signature by both parties. The Vendor acknowledges receipt of this Purchase Order and confirms its ability to deploy a qualified Petroleum Engineer to Senegal Dakar within the stipulated timeframe. All terms, conditions, and specifications outlined herein are incorporated into the contractual relationship between the Buyer and the Vendor.
