This Purchase Order is issued by Meridian Energy Solutions Pte. Ltd. (hereinafter referred to as the "Purchaser") to Apex Petroleum Consulting Group Pte. Ltd. (hereinafter referred to as the "Supplier") for the engagement and provision of a qualified Petroleum Engineer to perform specialised technical services in support of the Purchaser's offshore and onshore hydrocarbon exploration and production operations. The services described herein shall be rendered exclusively within the jurisdiction of Singapore Singapore, and all deliverables shall comply with the regulatory standards set forth by the Singapore Department of Energy (DNE) and the relevant statutory boards operating within Singapore Singapore.

The Petroleum Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of progressive professional experience in reservoir engineering, well completion design, production optimisation, and subsurface characterisation. The Petroleum Engineer must hold a valid Professional Engineer (PE) registration with the Professional Engineers Board of Singapore Singapore and shall demonstrate proficiency in industry-standard software including Petrel, Eclipse, CMG, and Landmark. The Petroleum Engineer shall be responsible for the following scope of work:

• Conducting comprehensive reservoir simulation studies and dynamic modelling for the Purchaser's designated asset blocks located in the offshore waters adjacent to Singapore Singapore.
• Designing and reviewing well completion programmes, including casing design, cementing plans, and artificial lift system selection.
• Performing production data analysis, decline curve analysis, and material balance calculations to optimise hydrocarbon recovery factors.
• Preparing technical reports, feasibility assessments, and economic evaluations in accordance with the reporting standards mandated by the regulatory authorities of Singapore Singapore.
• Providing on-site technical supervision and advisory support at the Purchaser's operational facilities within Singapore Singapore for a minimum of three (3) days per week.
• Participating in joint technical reviews with the Purchaser's internal engineering team and external stakeholders as required under this Purchase Order.

Payment shall be made on a monthly basis within thirty (30) calendar days from the date of receipt of a valid tax invoice issued by the Supplier. All payments shall be remitted via electronic funds transfer (EFT) to the Supplier's designated bank account in Singapore Singapore. The Purchaser reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria specified in this Purchase Order.

The engagement of the Petroleum Engineer under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless earlier terminated in accordance with the termination provisions set out in Section 6. The Petroleum Engineer shall report to the Purchaser's Chief Technical Officer at the Purchaser's headquarters in Singapore Singapore on the first day of the engagement period.

1. All services rendered under this Purchase Order shall be performed in strict compliance with the laws, regulations, and industry standards applicable in Singapore Singapore, including but not limited to the Petroleum (Exploration and Production) Act and the Environmental Protection and Management Act of Singapore Singapore.
2. The Petroleum Engineer shall maintain full professional indemnity insurance with a minimum coverage of SGD 5,000,000 per occurrence, valid throughout the duration of this Purchase Order.
3. All intellectual property, technical data, reservoir models, and reports generated by the Petroleum Engineer in the course of performing duties under this Purchase Order shall be the sole and exclusive property of the Purchaser.
4. The Supplier shall ensure that the Petroleum Engineer complies with all confidentiality obligations and shall not disclose any proprietary information of the Purchaser to any third party without prior written consent.
5. Any amendments, variations, or extensions to this Purchase Order must be documented in writing and signed by authorised representatives of both parties. No verbal modifications shall be binding.
6. This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Singapore Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).

The Purchaser shall have a period of ten (10) business days to review and accept or reject any deliverable submitted by the Petroleum Engineer. Rejection shall be communicated in writing with specific reasons for non-conformance. The Petroleum Engineer shall rectify and resubmit the deliverable within five (5) business days of receiving the rejection notice. Failure to rectify within the stipulated period shall entitle the Purchaser to withhold the corresponding payment under this Purchase Order.

Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. The Purchaser may terminate this Purchase Order immediately upon written notice if the Petroleum Engineer commits a material breach, fails to maintain the required professional registration in Singapore Singapore, or engages in conduct that brings the Purchaser into disrepute. Upon termination, the Supplier shall be compensated for all services rendered up to the effective date of termination, subject to the terms of this Purchase Order.
