This Purchase Order is issued by Iberia Energy Solutions S.L. to formally request and authorize the procurement of specialized Petroleum Engineer professional services to be rendered by PetroTech Consulting Ibérica S.A. The scope of work encompasses the full spectrum of petroleum engineering activities required for the exploration, evaluation, and production optimization of hydrocarbon reserves located within the operational jurisdiction of Spain Madrid and its surrounding autonomous regions. The Petroleum Engineer assigned under this Purchase Order shall possess a minimum of fifteen (15) years of documented experience in reservoir engineering, well completion design, production forecasting, and subsurface characterization, and shall hold a valid professional license issued by the Colegio Oficial de Ingenieros Técnicos Industriales de Madrid.

- Acceptance of Purchase Order: This Purchase Order constitutes a binding offer for the procurement of Petroleum Engineer services. By signing below, the Supplier acknowledges and accepts all terms, conditions, and specifications outlined in this Purchase Order for work to be performed in Spain Madrid.
- Qualification of Petroleum Engineer: The Petroleum Engineer assigned to this contract must hold a recognized degree in Petroleum Engineering or a closely related discipline from an accredited Spanish or European university, and must be registered with the relevant professional college in Madrid. The Supplier shall provide copies of all relevant credentials prior to the commencement of work.
- Performance Period: All Petroleum Engineer services described in this Purchase Order shall be completed within the timeframe specified in Section 1. Any extension of the performance period must be mutually agreed upon in writing by both parties and shall not relieve the Supplier of its obligation to deliver the Petroleum Engineer services with the highest professional standard.
- Payment Schedule: Payment for the Petroleum Engineer services shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the mid-project milestone review in Spain Madrid, and 30% upon final acceptance and delivery of all deliverables. Each installment shall be due within thirty (30) calendar days of the corresponding invoice.
- Confidentiality: The Petroleum Engineer and all personnel of the Supplier shall treat all subsurface data, reservoir models, production figures, and proprietary information of Iberia Energy Solutions S.L. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance with Spanish and Madrid Regulations: All Petroleum Engineer activities conducted under this Purchase Order shall comply with the applicable legislation of Spain Madrid, including but not limited to the Ley de Hidrocarburos, the environmental regulations of the Comunidad de Madrid, and all occupational health and safety standards mandated by the Spanish Ministry of Energy, Tourism and Digital Agenda.
- Intellectual Property: All reports, models, analyses, and technical documentation produced by the Petroleum Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Iberia Energy Solutions S.L. The Supplier retains no rights to reproduce, distribute, or utilize such materials for any other client or purpose without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall be compensated for all Petroleum Engineer services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to the Buyer.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration in Madrid, Spain, in accordance with the rules of the Madrid Chamber of Commerce. The language of arbitration shall be Spanish, and the judgment shall be final and enforceable in any court of Spain Madrid.
- Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure results from events beyond its reasonable control, including but not limited to natural disasters, government actions affecting petroleum operations in Spain Madrid, or pandemics, provided that the affected party notifies the other within five (5) business days.
The Petroleum Engineer shall deliver the following items to the Buyer's office in Spain Madrid no later than the Required Delivery Date stated in Section 1: (a) a comprehensive reservoir characterization report in both PDF and editable formats; (b) three (3) individual well completion design packages; (c) a production forecasting model with ten-year projections; (d) a regulatory compliance dossier for the Comunidad de Madrid; and (e) four (4) recorded training sessions with accompanying slide decks and reference materials. All deliverables shall be submitted in Spanish and English.
