This Purchase Order is issued by Nile Basin Energy & Resources Ltd. to Khartoum Petroleum Consulting Group for the engagement of a qualified Petroleum Engineer to provide specialized technical services for the ongoing oil exploration and production operations in the western and southern regions of Sudan. The Petroleum Engineer shall be based at the primary operational office located in Sudan Khartoum and shall report directly to the Chief Technical Officer of the Purchasing Party. The scope of work encompasses reservoir analysis, well performance evaluation, production optimization, and the preparation of technical reports in accordance with international petroleum engineering standards and the regulatory requirements of the Sudanese Ministry of Mineral Resources.

  1. Validity: This Purchase Order shall remain valid for a period of twelve (12) months from the date of issuance, commencing 1 July 2025 and concluding 30 June 2026, unless terminated earlier in accordance with Clause 9.
  2. Payment Terms: Payment shall be made on a monthly basis within thirty (30) days of receipt of an approved invoice from the Supplier. All payments shall be processed in United States Dollars (USD) via bank transfer to the account designated by Khartoum Petroleum Consulting Group, domiciled in Sudan Khartoum.
  3. Qualifications: The Petroleum Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Petroleum Engineering or a related discipline from an accredited institution, possess a minimum of ten (10) years of progressive experience in upstream petroleum operations, and be registered with the Sudanese Engineers Syndicate. A copy of the professional license shall be submitted prior to commencement of services.
  4. Work Location: The primary duty station for the Petroleum Engineer shall be the operational headquarters in Sudan Khartoum. The Petroleum Engineer shall be available for field deployments to remote operational sites within Sudan as required by the project schedule, with all travel and accommodation expenses covered as specified in Line Item 04.
  5. Confidentiality: The Petroleum Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary data, reservoir models, well logs, and operational information belonging to the Purchasing Party. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Compliance: All services rendered under this Purchase Order shall comply with the laws of the Republic of Sudan, the Sudanese Petroleum Act, and all applicable regulations issued by the Ministry of Mineral Resources and the National Petroleum Authority in Sudan Khartoum.
  7. Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Petroleum Engineer throughout the duration of this Purchase Order, with a minimum coverage of USD 1,000,000 per occurrence.
  8. Performance Standards: The Petroleum Engineer shall deliver all technical reports, analyses, and recommendations within the timelines specified in the project work plan. Failure to meet deliverable deadlines without prior written approval from the Purchasing Party shall constitute a material breach of this Purchase Order.
  9. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Purchasing Party shall pay for all services satisfactorily rendered up to the date of termination.
  10. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Sudan Khartoum in accordance with the Sudanese Arbitration Act, and the decision of the arbitrator shall be final and binding.
  11. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or epidemics affecting operations in Sudan Khartoum or elsewhere in Sudan.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Petroleum Engineer in Sudan Khartoum. This document constitutes a binding agreement between the parties upon execution by authorized representatives.
