This Purchase Order is issued by Anatolia Energy Solutions A.S. to formally engage the services of a qualified Petroleum Engineer for the duration of the project described below. The Petroleum Engineer shall be physically based and operational in Turkey Istanbul, specifically at the buyer's Levent office and at designated field sites within the Marmara and Black Sea regions of Turkey. All deliverables, site visits, and on-site assessments related to this Purchase Order must be conducted within the jurisdiction of Turkey Istanbul unless otherwise authorized in writing by the project director.

The Petroleum Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of professional experience in reservoir engineering, well completion design, production optimization, and subsurface analysis. The Petroleum Engineer must hold a valid professional license recognized by the Chamber of Engineers of Turkey (TMMOB) and must be fluent in both Turkish and English to facilitate all technical documentation and client communications in Turkey Istanbul.

The Petroleum Engineer contracted under this Purchase Order shall deliver the following within the specified timelines, all work to be coordinated from the Turkey Istanbul project office:

• Complete 3D reservoir simulation models for the Marmara Basin block within 90 calendar days of Purchase Order acceptance.
• Submit well completion design packages for all 12 production wells, with each package reviewed and approved by the Petroleum Engineer before drilling operations commence.
• Provide monthly production analysis reports containing decline curve analysis, water cut projections, and recommended intervention strategies, delivered to the Turkey Istanbul management team by the 5th business day of each month.
• Conduct a comprehensive technical due diligence report for the proposed new drilling location, including geological risk assessment, estimated recoverable reserves, and capital expenditure projections.
• Coordinate all regulatory filings and environmental compliance documentation with the relevant Turkey Istanbul municipal offices, the General Directorate of Mineral Research and Exploration (MTA), and the Petroleum Pipeline Authority (TPAO).

Payment for this Purchase Order shall be made in Turkish Lira (TRY) via bank transfer to the IBAN specified in Section 2. The payment schedule is as follows:

• 30% Advance Payment: Due within 10 business days of signed Purchase Order acceptance (TRY 776,160.00).
• 40% Milestone Payment: Due upon completion and acceptance of the reservoir modeling deliverable and well completion designs (TRY 1,034,880.00).
• 30% Final Payment: Due upon successful completion of all remaining deliverables, including the due diligence study and regulatory compliance review (TRY 776,160.00).

All invoices must reference this Purchase Order number (PO-2025-TR-00482) and must be issued in accordance with Turkish commercial invoicing regulations (e-Fatura / e-Arşiv Fatura). Late payments shall accrue interest at the statutory rate determined by the Republic of Turkey.

• This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Turkey Istanbul.
• The Petroleum Engineer shall maintain full professional liability insurance and occupational accident insurance as required by Turkish labor law (4857 sayılı İş Kanunu) for the entire duration of the engagement.
• All intellectual property, data, models, and reports generated by the Petroleum Engineer under this Purchase Order shall remain the exclusive property of Anatolia Energy Solutions A.S.
• The Petroleum Engineer shall comply with all health, safety, and environmental regulations applicable in Turkey Istanbul and at all field sites. Failure to comply may result in immediate termination of this Purchase Order.
• Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Petroleum Engineer shall be compensated for all work completed and accepted up to the termination date.
• Confidentiality obligations under this Purchase Order shall survive termination for a period of five (5) years.
