This Purchase Order is issued by Nile Basin Energy Resources Ltd. (hereinafter referred to as the "Purchaser") to Equatorial Drilling & Subsurface Consultants (EDSC) Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide comprehensive subsurface evaluation, reservoir characterization, and production optimization services for the Purchaser's exploration and development blocks located in the Albertine Graben region, with all administrative, reporting, and coordination activities to be conducted from the Supplier's principal office in Uganda Kampala.
The Petroleum Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor's degree in Petroleum Engineering (or a closely related discipline) from an accredited institution, possess a minimum of eight (8) years of progressive experience in onshore and offshore petroleum operations, and be a registered member of the Uganda Engineering and Technical Registration Board (UETRB). The Petroleum Engineer shall be responsible for, but not limited to: reservoir modeling and simulation, well performance analysis, completion design review, production forecasting, decline curve analysis, and the preparation of technical reports in accordance with the Uganda Petroleum Authority (UPA) regulatory requirements.

All prices are quoted in Ugandan Shillings (UGX) and are inclusive of all applicable local taxes unless otherwise stated. The total amount of UGX 885,472,000 (Eight Hundred and Eighty-Five Million, Four Hundred and Seventy-Two Thousand Ugandan Shillings) is payable in accordance with the payment terms outlined in Section 5.
The Petroleum Engineer shall commence all duties no later than 1 July 2025 and shall report directly to the Purchaser's Chief Geoscientist. All deliverables, including but not limited to reservoir models, production forecasts, technical memoranda, and regulatory filings, shall be submitted to the Purchaser's project management office located in Uganda Kampala. The Petroleum Engineer shall attend all scheduled project review meetings, which shall be held bi-weekly at the Purchaser's headquarters on Kampala Road, Uganda Kampala. The Supplier shall ensure that the Petroleum Engineer maintains full professional indemnity insurance coverage throughout the duration of this Purchase Order and shall comply with all health, safety, and environmental (HSE) standards mandated by the Uganda Petroleum Authority and the Ministry of Energy and Mineral Development.
Payment shall be made in monthly installments via bank transfer to the Supplier's designated account at Stanbic Bank Uganda. Invoices shall be submitted by the 5th business day of each month for services rendered in the preceding month. The Purchaser shall process payment within thirty (30) calendar days of receipt of a valid, correctly itemized invoice. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the Uganda Commercial Law. The Supplier shall provide a detailed breakdown of all charges on each invoice, referencing the applicable line item(s) from this Purchase Order.
- This Purchase Order is governed by the laws of the Republic of Uganda, including the Uganda Petroleum (Exploration, Development and Production) Act, 2013, and the Uganda Public Procurement and Disposal of Public Assets Act, 2003 (as applicable).
- The Supplier warrants that the Petroleum Engineer engaged under this Purchase Order possesses all necessary qualifications, registrations, and professional certifications required to perform petroleum engineering services in Uganda Kampala and the wider Albertine Graben region.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable only for services rendered up to the effective date of termination.
- All intellectual property, data, models, and reports generated by the Petroleum Engineer in the course of this engagement shall be the sole property of the Purchaser.
- The Supplier shall maintain strict confidentiality of all subsurface data, well logs, seismic interpretations, and commercial information provided by the Purchaser. Breach of confidentiality shall render the Supplier liable for damages.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Uganda Kampala in accordance with the rules of the Uganda Arbitration Centre.
This Purchase Order becomes effective upon signature by both parties. The Supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, scope of work, and pricing as set forth herein. No amendments to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
