This Purchase Order is issued by the Buyer to formally engage the Supplier for the provision of specialized Petroleum Engineer professional services in the emirate of Abu Dhabi, United Arab Emirates. The scope of work encompasses the following deliverables and responsibilities:

02 Well completion optimization and artificial lift system design for 12 producing wells in the Ruwais field. The Petroleum Engineer shall prepare completion reports, NOD analysis, and pump selection documentation in compliance with ADNOC engineering standards. 4 months 72,000 / month 288,000.00
03 Drilling fluid optimization and wellbore stability assessment for 8 new exploration wells. The Petroleum Engineer shall provide real-time technical support during drilling operations and submit post-drill technical reports. 5 months 78,000 / month 390,000.00
04 Enhanced Oil Recovery (EOR) feasibility study including CO2 injection modeling, pilot design, and economic evaluation for the Habshan field. The Petroleum Engineer shall deliver a comprehensive technical report with sensitivity analyses. 3 months 95,000 / month 285,000.00
05 Monthly technical supervision, site inspections, and progress reporting. The Petroleum Engineer shall attend weekly coordination meetings at the Buyer’s Abu Dhabi headquarters and submit monthly progress reports in Arabic and English. 12 months 45,000 / month 540,000.00
TOTAL CONTRACT VALUE (AED): 2,013,000.00
3. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Federal Laws of the United Arab Emirates, the Civil Code of the UAE (Federal Law No. 5 of 1985 as amended), and the applicable regulations of the Abu Dhabi Department of Economic Development. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi in accordance with the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC).
  2. Commencement and Duration: The Petroleum Engineer services shall commence on 1 August 2025 and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 3.7. All work shall be performed at the Buyer’s designated sites within the Abu Dhabi emirate, United Arab Emirates.
  3. Payment Terms: Payment shall be made in United Arab Emirates Dirhams (AED) within thirty (30) calendar days of receipt of a valid invoice and acceptance of the corresponding deliverable. Invoices shall be submitted to the Buyer’s Accounts Payable department in Abu Dhabi. Late payments shall accrue interest at the rate of 2% per annum in accordance with UAE commercial law.
  4. Qualifications and Licensing: The Supplier warrants that the assigned Petroleum Engineer holds a minimum of a Bachelor’s degree in Petroleum Engineering from an accredited institution, possesses a valid professional license issued by the Abu Dhabi Department of Municipalities and Transport, and maintains a minimum of ten (10) years of relevant experience in onshore and offshore hydrocarbon operations within the United Arab Emirates.
  5. Confidentiality and Data Protection: All technical data, reservoir models, well logs, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential. The Petroleum Engineer shall comply with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and shall not disclose any information to third parties without prior written consent from the Buyer.
  6. Health, Safety, and Environment (HSE): The Petroleum Engineer shall comply with all HSE regulations enforced by the Abu Dhabi Natural Resources Regulatory Authority (ADNRA) and the Abu Dhabi Health & Safety Executive (ADHSE). A valid HSE induction certificate and medical fitness certificate shall be submitted prior to site access.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations for services rendered up to the termination date.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, war, civil unrest, or government sanctions affecting the United Arab Emirates or Abu Dhabi specifically.
  9. Warranty of Services: The Supplier warrants that all Petroleum Engineer deliverables shall be performed in a professional, workmanlike manner consistent with industry best practices and applicable Abu Dhabi and UAE regulatory standards. Any defective work shall be rectified at the Supplier’s sole cost within fourteen (14) days of written notice.
  10. Tax and Duties: All amounts stated in this Purchase Order are exclusive of Value Added Tax (VAT) at the prevailing UAE rate of 5%, which shall be added to each invoice. The Supplier shall provide a valid Tax Registration Number (TRN) for all invoicing purposes.
4. DELIVERY AND REPORTING

All technical deliverables produced by the Petroleum Engineer shall be submitted in both digital (PDF and native file formats) and hard-copy (three bound copies) to the Buyer’s Engineering Office located in Al Markaziyah, Abu Dhabi, United Arab Emirates. Monthly progress reports shall be due by the 5th business day of the following month. Final project reports shall be submitted within fifteen (15) business days of completion of each work package.
