This Purchase Order is issued to procure the professional services of a qualified Petroleum Engineer to be engaged on a full-time, on-site basis at the Buyer's operational headquarters located in United Kingdom London. The Petroleum Engineer shall be responsible for the following duties and deliverables throughout the contract period:
- Conducting comprehensive reservoir modelling, simulation, and performance analysis for the Buyer's North Sea and onshore United Kingdom London basin assets.
- Developing and optimising well completion designs, production strategies, and enhanced oil recovery (EOR) programmes in accordance with HSE regulations applicable in the United Kingdom.
- Preparing monthly and quarterly technical reports on reservoir performance, fluid properties, and production forecasting for senior management review at the United Kingdom London office.
- Collaborating with geologists, geophysicists, and drilling engineers to ensure integrated subsurface interpretation and risk mitigation across all active projects.
- Providing expert technical support during well interventions, workovers, and new drilling campaigns, including real-time data interpretation and decision-making guidance.
- Ensuring full compliance with the Health and Safety Executive (HSE) standards, the Oil and Gas (Decommissioning) Act 2006, and all relevant United Kingdom regulatory frameworks governing petroleum operations.
- Maintaining and updating the company's reservoir management plans, decline curve analyses, and economic evaluations for all fields under the Buyer's licence in the United Kingdom London region and surrounding basins.

- Governing Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- Place of Performance: All services shall be performed primarily at the Buyer's premises in United Kingdom London, with occasional travel to offshore and onshore operational sites as reasonably required. The Petroleum Engineer shall report to the Buyer's Technical Director at the United Kingdom London headquarters on a daily basis.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in British Pounds Sterling (GBP) via BACS transfer to the Supplier's designated bank account in the United Kingdom.
- Confidentiality: The Petroleum Engineer and all associated personnel shall maintain strict confidentiality regarding all proprietary data, reservoir information, and commercial details of the Buyer. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Insurance: The Supplier shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000, valid throughout the contract period in the United Kingdom.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. The Buyer may terminate immediately for material breach, insolvency, or failure to meet HSE compliance requirements.
- Health, Safety, and Environment: The Petroleum Engineer shall comply with all applicable United Kingdom health and safety legislation, including the Management of Health and Safety at Work Regulations 1999, and all HSE guidance notes relevant to petroleum operations.
- Intellectual Property: All work product, reports, models, and analyses created by the Petroleum Engineer in the course of performing services under this Purchase Order shall be the sole property of the Buyer.
- Anti-Bribery and Compliance: The Supplier warrants compliance with the UK Bribery Act 2010 and all applicable anti-corruption legislation in the United Kingdom.
This Purchase Order constitutes a binding offer for the procurement of Petroleum Engineer professional services. By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and pricing set forth in this document. This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue.
