This Purchase Order is issued by Midwest Energy Solutions, LLC (hereinafter referred to as the "Buyer") to Great Lakes Petroleum Consulting Group, Inc. (hereinafter referred to as the "Supplier") for the procurement of professional Petroleum Engineer services. The Buyer requires the engagement of a qualified Petroleum Engineer to perform reservoir analysis, well optimization studies, and production forecasting for the Buyer's onshore natural gas operations located in the Will County and Kankakee County regions of the United States Chicago metropolitan area and surrounding Illinois basins.
The Petroleum Engineer shall hold a valid Professional Engineer (PE) license issued by the Illinois Department of Professional Regulation and shall possess a minimum of ten (10) years of demonstrated experience in reservoir engineering, well completion design, and enhanced oil and gas recovery techniques. The Petroleum Engineer must be physically available to conduct site inspections at the Buyer's operational facilities within the United States Chicago region within forty-eight (48) hours of a written request.

The Petroleum Engineer engaged under this Purchase Order shall deliver the following within the United States Chicago operational jurisdiction:
(a) A comprehensive reservoir static model incorporating seismic interpretation, core analysis, and well log data for all active wells within the Buyer's Will County leasehold; (b) A well-by-well completion optimization report identifying opportunities for increased net present value through re-completion, infill drilling, or stimulation; (c) A five-year production forecast with 90% confidence intervals for the Kankakee County 12-well pad; (d) Monthly progress reports submitted to the Buyer's Project Director no later than the fifth business day of each calendar month; and (e) Final technical deliverables in both PDF and editable Microsoft Office formats, stored on the Buyer's secure server located in the United States Chicago data center.
- Payment Terms: Net 30 days from the date of invoice receipt. All payments shall be made via wire transfer to the Supplier's designated account. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Illinois law (815 ILCS 205/2).
- Performance Period: Services shall commence on July 1, 2025, and continue through December 31, 2025, unless this Purchase Order is extended in writing by mutual agreement of both parties.
- Compliance: The Petroleum Engineer shall comply with all applicable federal, state, and local regulations, including but not limited to the Illinois Oil and Gas Act (220 ILCS 130), the Clean Air Act, and all Chicago municipal ordinances governing industrial operations within the United States Chicago city limits.
- Insurance: The Supplier shall maintain Commercial General Liability insurance of no less than $2,000,000 per occurrence and Professional Liability (Errors and Omissions) insurance of no less than $5,000,000. Certificates of insurance naming the Buyer as additional insured must be provided prior to commencement of work.
- Confidentiality: All data, reservoir models, well logs, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential. The Petroleum Engineer shall not disclose any Buyer information to third parties without prior written consent. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois. Any disputes arising hereunder shall be resolved through binding arbitration in the United States Chicago area under the rules of the American Arbitration Association.
- Independent Contractor: The Petroleum Engineer is engaged as an independent contractor and not as an employee or agent of the Buyer. The Supplier is solely responsible for all payroll taxes, workers' compensation, and benefits for the Petroleum Engineer.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting the United States Chicago region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Petroleum Engineer in the United States Chicago area. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
