This Purchase Order is issued by Meridian Energy Solutions, LLC (hereinafter referred to as "the Buyer") to DeepCore Technical Consulting Group, Inc. (hereinafter referred to as "the Vendor") for the provision of specialized Petroleum Engineer services. The Petroleum Engineer engaged under this Purchase Order shall provide comprehensive subsurface evaluation, reservoir modeling, well optimization analysis, and production forecasting support for the Buyer's active drilling and completion operations located in and around the United States Houston metropolitan area and the broader Gulf Coast region of Texas.

The Petroleum Engineer shall be a licensed Professional Engineer (PE) in the State of Texas with a minimum of fifteen (15) years of demonstrated experience in onshore and offshore petroleum operations. The scope of work under this Purchase Order includes, but is not limited to: reservoir characterization and static/dynamic modeling, wellbore trajectory analysis, hydraulic fracturing design review, completion optimization, production decline curve analysis, and preparation of technical reports in compliance with the regulations of the Texas Railroad Commission and the U.S. Environmental Protection Agency (EPA).

3.1 This Purchase Order is governed by the laws of the State of Texas and the applicable federal regulations of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.

3.2 The Vendor shall ensure that the Petroleum Engineer assigned to this Purchase Order maintains all required professional licenses, including a valid Texas PE license and any necessary federal certifications. The Vendor shall provide proof of licensure prior to the commencement of services.

3.3 Payment terms are Net 30 days from the date of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-HE-04872) and shall itemize hours worked by each Petroleum Engineer, software license fees, and travel expenses separately.

3.4 The Vendor shall maintain comprehensive professional liability insurance with a minimum coverage of $5,000,000 per occurrence and $10,000,000 aggregate, naming Meridian Energy Solutions, LLC as an additional insured. Certificates of insurance shall be provided prior to the start date.

3.5 All work product, including reservoir models, well reports, and technical analyses produced under this Purchase Order, shall be the sole property of the Buyer. The Petroleum Engineer and the Vendor shall execute a non-disclosure agreement (NDA) prior to accessing any proprietary data.

3.6 The Vendor shall comply with all applicable occupational safety standards set forth by the U.S. Occupational Safety and Health Administration (OSHA) and the Texas Department of Labor. The Petroleum Engineer shall complete the Buyer's site-specific safety orientation before entering any operational facility in the United States Houston area.

3.7 This Purchase Order is valid for a period of twelve (12) months from the Required Start Date. Extensions may be granted in writing by mutual agreement of both parties. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice for convenience.

The Petroleum Engineer shall submit weekly progress reports to the Buyer's Project Management Office located in United States Houston, Texas. Monthly technical deliverables, including updated reservoir simulation results and production forecasts, shall be delivered in both electronic (PDF and native software format) and printed form. A final comprehensive technical report summarizing all findings and recommendations under this Purchase Order shall be delivered within fifteen (15) business days of the contract end date.
