1. SCOPE OF PURCHASE ORDER
This Purchase Order is issued by Meridian Energy Solutions, Inc. (hereinafter referred to as the "Purchaser") to Dr. Katherine M. Vasquez, P.E. (hereinafter referred to as the "Petroleum Engineer" or "Supplier") for the provision of specialized petroleum engineering consulting services. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Petroleum Engineer for the project described herein. All services shall be performed in and around the United States New York City metropolitan area, with primary work conducted at the Purchaser's headquarters located in Manhattan, United States New York City.

3. PROJECT TIMELINE AND MILESTONES
The Petroleum Engineer shall commence work no later than July 1, 2025, and shall complete all deliverables by November 15, 2025. The project shall be executed in the following phases, all conducted within the United States New York City area unless otherwise agreed in writing:
- Phase I (July 1 – August 15, 2025): Data collection, reservoir modeling, and initial volumetric analysis.
- Phase II (August 16 – September 30, 2025): Well performance optimization and EOR feasibility study.
- Phase III (October 1 – October 31, 2025): Regulatory compliance review and environmental assessment.
- Phase IV (November 1 – November 15, 2025): Final report compilation, quality assurance, and Board presentation.
4. PAYMENT TERMS
Payment for this Purchase Order shall be made in accordance with the following schedule. All payments shall be processed via wire transfer to the Petroleum Engineer's designated bank account in the United States New York City. Invoices must reference Purchase Order Number NYC-PE-2025-04872.
- 30% advance payment upon execution of this Purchase Order: $38,898.07
- 30% upon completion of Phase II deliverables: $38,898.07
- 30% upon completion of Phase III deliverables: $38,898.07
- 10% upon final acceptance of all deliverables: $12,966.01
All invoices are due within thirty (30) calendar days of receipt. Late payments shall accrue interest at a rate of 1.5% per month, in compliance with New York State commercial law. The Petroleum Engineer shall provide a valid New York State Certificate of Authority and W-9 form prior to the first payment disbursement.
5. TERMS AND CONDITIONS
- This Purchase Order is governed by the laws of the State of New York and the federal laws of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in the United States New York City, in accordance with the rules of the American Arbitration Association.
- The Petroleum Engineer warrants that all services rendered shall be performed in a professional, workmanlike manner consistent with the standards of the Society of Petroleum Engineers (SPE) and the American Petroleum Institute (API). The Petroleum Engineer holds an active New York State Professional Engineer (P.E.) license and shall maintain such licensure throughout the duration of this Purchase Order.
- All intellectual property, data, models, and reports generated under this Purchase Order shall become the sole property of Meridian Energy Solutions, Inc. upon full payment. The Petroleum Engineer shall not disclose proprietary information to any third party without prior written consent.
- The Petroleum Engineer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming the Purchaser as an additional insured. Proof of insurance must be provided prior to commencement of work.
- This Purchase Order may be amended only by a written addendum signed by both parties. No oral modifications shall be valid or enforceable.
- The Petroleum Engineer shall comply with all applicable federal, state, and local regulations in the United States New York City, including but not limited to OSHA workplace safety standards, NYSDEC environmental regulations, and New York City building and fire codes for any on-site activities.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered and expenses incurred up to the date of termination.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter hereof.
