Description of ProcurementThis Purchase Order is issued by Golden Gate Energy Solutions, Inc. ("Buyer") to Pacific Basin Engineering Group LLC ("Vendor") for the procurement of specialized Petroleum Engineer professional services. The Buyer requires the engagement of a qualified and licensed Petroleum Engineer to provide comprehensive subsurface analysis, reservoir modeling, production optimization, and well integrity assessments for the Buyer's offshore and onshore energy assets located within the operational jurisdiction of the United States San Francisco Bay Area and surrounding federal waters. The Petroleum Engineer shall report directly to the Buyer's Vice President of Operations and shall be physically stationed at the Buyer's headquarters in United States San Francisco for a minimum of four (4) business days per week, with the remaining time allocated to field inspections and remote analytical work as directed by project management.

- Scope of Work: The Petroleum Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the California Professional Engineers Act (Business and Professions Code Section 6700 et seq.) and shall hold a valid California Professional Engineer (P.E.) license in the discipline of Petroleum Engineering. The engineer shall also comply with all applicable federal regulations administered by the Bureau of Ocean Energy Management (BOEM) and the U.S. Minerals Management Service (MMS) as they pertain to operations in United States San Francisco federal waters.
- Payment Terms: Payment shall be made net forty-five (45) days from the date of receipt of a valid invoice. Invoices shall be submitted monthly by the Vendor to the Buyer's Accounts Payable department at the United States San Francisco address listed above. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by California law, whichever is lower.
- Performance and Deliverables: The Petroleum Engineer shall deliver a comprehensive monthly progress report, quarterly reservoir performance summaries, and an annual technical assessment to the Buyer's management team. All deliverables shall be submitted in both digital (PDF and native file formats) and hard copy (three copies) to the Buyer's office in United States San Francisco.
- Confidentiality and Intellectual Property: All data, models, analyses, and proprietary information generated by the Petroleum Engineer in the course of performing services under this Purchase Order shall be considered the exclusive property of the Buyer. The Vendor and the assigned engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. No information pertaining to the Buyer's assets in the United States San Francisco region shall be disclosed to third parties without prior written consent.
- Insurance and Indemnification: The Vendor shall maintain, at its own expense, professional liability insurance with a minimum coverage of $5,000,000 per occurrence, general liability insurance of $2,000,000, and workers' compensation insurance as required by the State of California. The Vendor shall indemnify and hold harmless the Buyer from any claims, damages, or liabilities arising from the negligence or willful misconduct of the Petroleum Engineer or the Vendor's personnel.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the effective date of termination. In the event of termination for cause, the Buyer reserves the right to withhold payment for any deficient or incomplete work performed by the Petroleum Engineer.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, United States San Francisco. The parties agree to attempt mediation in good faith prior to initiating any litigation.
- Compliance with Local Regulations: The Vendor and the assigned Petroleum Engineer shall comply with all applicable United States San Francisco municipal ordinances, California state environmental regulations (including CEQA), and federal environmental statutes (including NEPA and the Clean Water Act) in the performance of all services under this Purchase Order.
- Anti-Corruption and Ethics: The Vendor warrants that no part of the compensation under this Purchase Order shall be paid to any government official or employee in violation of the U.S. Foreign Corrupt Practices Act or California anti-bribery statutes. Any breach of this clause shall constitute grounds for immediate termination.
