This Purchase Order is issued by Orinoco Energy Solutions C.A. to formally request the engagement of a qualified Petroleum Engineer to provide specialized technical consulting services for the exploration and production operations located in the Maracaibo Basin, with primary coordination and reporting based in Venezuela Caracas. The Petroleum Engineer shall be responsible for reservoir modeling, well performance analysis, production optimization, and technical oversight of drilling operations across multiple sites in the Orinoco Belt and the western onshore region. All deliverables, progress reports, and technical documentation associated with this Purchase Order must be submitted to the project management office located in Venezuela Caracas no later than the deadlines specified in the attached Statement of Work.

3.1 This Purchase Order constitutes a binding agreement between Orinoco Energy Solutions C.A. (hereinafter "Buyer") and Andes Petroleum Consulting LLC (hereinafter "Vendor") for the provision of Petroleum Engineer services as described herein. The Vendor acknowledges that the primary site of coordination, reporting, and administrative oversight for this Purchase Order shall be the Buyer's headquarters in Venezuela Caracas, Chacao Municipality, Miranda State, Venezuela.

3.2 The Petroleum Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of professional experience in reservoir engineering, well completion, and production optimization in heavy oil and extra-heavy oil reservoirs. The Petroleum Engineer must possess a valid professional license recognized by the Venezuelan Ministry of Energy and Mines and must be registered with the Colegio de Ingenieros de Venezuela, Caracas chapter.

3.3 All work performed under this Purchase Order shall comply with the technical standards established by the Venezuelan Institute for Petroleum (IVP) and the operational regulations of the Ministry of Energy and Mines of the Republic of Venezuela. The Petroleum Engineer shall adhere to all HSE (Health, Safety, and Environment) protocols in effect at the Venezuela Caracas coordination center and at all field sites.

3.4 Payment shall be made in US Dollars via wire transfer to the account designated by the Vendor. Invoices must reference this Purchase Order number (PO-VE-2025-04872) and shall be submitted to the accounts payable department in Venezuela Caracas. Payment is due within forty-five (45) calendar days from the date of invoice receipt.

3.5 The Vendor shall provide a replacement Petroleum Engineer of equivalent or superior qualifications within five (5) business days should the originally assigned Petroleum Engineer become unavailable. Any change in the Petroleum Engineer must be approved in writing by the Buyer's Project Director in Venezuela Caracas.

3.6 This Purchase Order may be amended only by mutual written agreement of both parties. No verbal modifications shall be considered valid. All amendments must be executed as addenda to this Purchase Order and countersigned by authorized representatives of both parties in Venezuela Caracas.

3.7 The Vendor warrants that all deliverables produced by the Petroleum Engineer under this Purchase Order shall be original, free of intellectual property encumbrances, and shall become the exclusive property of the Buyer upon full payment.

3.8 Disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Chamber of Commerce of Caracas. The governing law shall be the commercial law of the Republic of Venezuela.
