This Purchase Order is issued by Zambezi Energy Resources (Pvt) Ltd, a subsidiary operating within the Republic of Zimbabwe, to procure the professional services of a qualified Petroleum Engineer for the duration of the Zambezi Basin Exploration Project Phase II. The Petroleum Engineer shall be engaged to provide subsurface reservoir characterization, wellbore integrity assessment, production optimization modelling, and technical advisory support for all drilling and completion operations conducted in the Zimbabwe Harare metropolitan area and surrounding geological survey zones. The Petroleum Engineer must hold a minimum of ten (10) years of documented field experience in onshore petroleum operations and must be registered with the Engineering Institute of Zimbabwe (EIZ) under a valid professional licence.

All services under this Purchase Order shall commence no later than 1 July 2025 and shall be performed at the designated project site located in Zimbabwe Harare, specifically at the Zambezi Energy Resources operations facility on Samora Machel Avenue, as well as at field locations within a 150-kilometre radius of Zimbabwe Harare as directed by the project manager. The Petroleum Engineer and supporting team must report to the Zimbabwe Harare project office on the first working day of each month for performance reviews. All deliverables, including reservoir reports, well completion summaries, and production optimization plans, shall be submitted in both hard copy and digital format to the Zimbabwe Harare headquarters within five (5) business days of completion.

Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. Invoices must be submitted to the accounts payable department at Zambezi Energy Resources, Zimbabwe Harare, and must reference this Purchase Order number (PO-ZW-HRE-2025-04782). Payment shall be processed via electronic bank transfer to the supplier's designated account. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the Zimbabwe Contracts Act. The supplier is required to provide a valid Zimbabwe Revenue Authority (ZIMRA) tax invoice for all transactions. No payment shall be released until the Petroleum Engineer has submitted the corresponding monthly progress report approved by the Procurement Director in Zimbabwe Harare.

This Purchase Order is governed by the laws of the Republic of Zimbabwe. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration in Zimbabwe Harare in accordance with the Arbitration Act of Zimbabwe. The Petroleum Engineer engaged under this Purchase Order shall comply with all applicable regulations of the Zimbabwe Energy Regulatory Authority (ZERA) and the Environmental Management Agency (EMA) of Zimbabwe. The supplier warrants that the Petroleum Engineer and all supporting personnel possess valid professional registrations, appropriate qualifications, and the necessary work permits to perform petroleum engineering services within Zimbabwe Harare and the wider Republic of Zimbabwe. The supplier shall indemnify the buyer against any claims, losses, or damages arising from negligence, professional misconduct, or breach of contract by the Petroleum Engineer or any member of the engineering team. This Purchase Order may be amended only by written agreement signed by both parties. Termination may be effected by either party with thirty (30) days' written notice, subject to payment for services already rendered up to the date of termination.
