1. Acceptance: This Purchase Order constitutes a binding agreement between the Pharmacist buyer (Vancouver Coastal Pharmacy Ltd.) and the supplier upon signature. All goods and services described herein shall be delivered to the designated location in Canada Vancouver, British Columbia, in accordance with the specifications outlined above.
2. Quality & Compliance: All pharmaceutical products supplied under this Purchase Order must comply with the regulations set forth by Health Canada, the British Columbia College of Pharmacists, and the Canadian Food and Drug Act. The Pharmacist reserves the right to reject any shipment that does not meet the required quality standards, expiry-date requirements, or cold-chain integrity protocols.
3. Delivery: The supplier shall deliver all items to the Canada Vancouver address listed above no later than the Required Delivery Date. Late delivery beyond five (5) business days entitles the Pharmacist to cancel this Purchase Order in whole or in part without penalty.
4. Payment: Payment of the total Purchase Order amount shall be made within thirty (30) calendar days of the invoice date via electronic funds transfer (EFT) to the supplier's designated Canadian banking account. All amounts are denominated in Canadian Dollars (CAD).
5. Warranties: The supplier warrants that all goods are new, unopened, and free from defects. The pharmaceutical refrigeration unit carries a two-year manufacturer's warranty. The Pharmacist shall notify the supplier in writing within ten (10) business days of delivery for any warranty claims.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada Vancouver jurisdiction. Any disputes shall be resolved through mediation in Canada Vancouver before proceeding to litigation in the Supreme Court of British Columbia.
7. Confidentiality: Both parties agree to maintain the confidentiality of all pricing, inventory, and operational information exchanged in connection with this Purchase Order. The Pharmacist's patient data and prescription records shall never be disclosed to the supplier.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Canada Vancouver, or supply chain disruptions affecting pharmaceutical distribution in British Columbia.
