Terms and Conditions

1. This Purchase Order is issued by the undersigned Pharmacist, Dra. Valentina Ríos Contreras, operating under the regulatory framework of the Ministry of Health of Chile and the SEREMI de Salud of the Metropolitan Region, Chile Santiago. All items procured under this Purchase Order must comply with current Chilean pharmaceutical regulations (Ley 20.659) and the technical standards established by the Instituto de Salud Pública de Chile.
2. The Supplier, MedSupply Chile SpA, acknowledges that all equipment and supplies listed herein are intended for use by a licensed Pharmacist in a regulated pharmacy environment located in Chile Santiago. The Supplier warrants that all products meet or exceed the quality, safety, and performance specifications required for professional pharmaceutical practice in Chile.
3. Delivery of all items under this Purchase Order shall be made to the specified address in Chile Santiago no later than July 10, 2025. The Supplier is responsible for all transportation, handling, and installation costs within the Chile Santiago metropolitan area. Any delay exceeding five (5) business days beyond the stated delivery date shall entitle the Pharmacist to a 2% per diem penalty on the total Purchase Order value.
4. Payment shall be made via electronic bank transfer (transferencia electrónica) to the Supplier's designated account within thirty (30) calendar days of receipt of a valid Chilean electronic invoice (Factura Electrónica) compliant with the SII (Servicio de Impuestos Internos) requirements. The Pharmacist reserves the right to withhold payment for any items that fail to meet the specifications outlined in this Purchase Order.
5. All equipment covered by this Purchase Order shall include a minimum two-year manufacturer's warranty. The Supplier shall provide the Pharmacist with all necessary documentation, user manuals in Spanish, and regulatory compliance certificates required for operation in Chile Santiago. For the refrigerated pharmaceutical storage cabinet, the Supplier must provide a calibration certificate and a 24/7 technical support hotline.
6. The Pharmacist reserves the right to inspect all goods upon delivery at the Chile Santiago premises. Any items found to be damaged, defective, or non-conforming to the Purchase Order specifications shall be rejected and replaced at the Supplier's sole expense within ten (10) business days.
7. This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Chile Santiago, Metropolitan Region. Both parties agree to attempt good-faith mediation before initiating any legal proceedings.
8. The Supplier confirms that it holds all necessary commercial registrations, health permits, and tax certifications to legally supply pharmaceutical equipment and materials to a Pharmacist operating in Chile Santiago. The Supplier shall maintain these credentials for the duration of the warranty period.
9. This Purchase Order becomes effective upon signature by both parties. No modifications, amendments, or cancellations to this Purchase Order shall be valid unless made in writing and signed by both the Pharmacist and the authorized representative of the Supplier.
10. All personal data processed under this Purchase Order shall be handled in accordance with Chilean Law 19.628 on the Protection of Private Life and applicable data protection regulations in force in Chile Santiago.
