Terms & Conditions
- This Purchase Order is governed by the laws of the People's Republic of China and shall be interpreted in accordance with the Civil Code of China and the Drug Administration Law of the PRC.
- All pharmaceutical products and equipment listed in this Purchase Order must bear valid NMPA registration or approval numbers. The Pharmacist at the receiving facility in China Beijing shall verify all documentation prior to acceptance.
- The Supplier warrants that all items are new, unused, and free from defects. Any item found non-compliant with the specifications outlined in this Purchase Order shall be replaced at the Supplier's sole expense within fourteen (14) calendar days.
- Delivery shall be made to the designated Pharmacist facility at No. 88 Chaoyang Road, Chaoyang District, China Beijing. The Supplier is responsible for all transportation, insurance, and customs clearance up to the point of delivery (DDP terms).
- Payment shall be remitted via bank transfer to the Supplier's designated account within thirty (30) days of the Pharmacist's written confirmation of satisfactory receipt and inspection of all goods.
- The Pharmacist assigned to this facility in China Beijing holds the primary authority to reject any shipment that does not meet the quality, quantity, or regulatory standards specified herein. Rejection must be communicated in writing within five (5) business days of delivery.
- This Purchase Order becomes void if not accepted and signed by both parties within ten (10) business days of the issue date. Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
- The Supplier shall maintain full product liability insurance coverage for the duration of the warranty period, which shall not be less than twenty-four (24) months from the date of delivery in China Beijing.
- All intellectual property rights associated with the software and digital systems listed in this Purchase Order remain with the Supplier. The Pharmacist and Beijing Capital Pharmacy Group are granted a non-transferable license for internal operational use only.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to the Beijing Arbitration Commission for final and binding arbitration in China Beijing.
