TERMS AND CONDITIONS
  1. This Purchase Order is issued by Shanghai Huadong Pharmaceutical Group Co., Ltd. (hereinafter "the Buyer") for the engagement of a qualified Pharmacist (hereinafter "the Service Provider") to deliver professional pharmaceutical services within the jurisdiction of China Shanghai. The Pharmacist must hold a valid license issued by the Shanghai Municipal Health Commission and maintain all required professional registrations throughout the contract period.
  2. The Pharmacist shall commence services on 1 July 2025 at the Buyer's designated facility located in Pudong New Area, China Shanghai, and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 8 of this Purchase Order.
  3. All services rendered by the Pharmacist shall comply with the Drug Administration Law of the People's Republic of China, the Good Supply Practice (GSP) standards, and all applicable regulations promulgated by the National Medical Products Administration (NMPA) and the China Shanghai Municipal Health Bureau.
  4. The Pharmacist is required to maintain professional liability insurance with a minimum coverage of CNY 2,000,000 per occurrence, valid for the entire duration of this Purchase Order. A certificate of insurance shall be submitted to the Buyer prior to the commencement of services.
  5. Payment shall be made in Chinese Yuan (CNY) via bank transfer to the account specified above within thirty (30) calendar days from the date of receipt of a valid VAT invoice (fapiao) issued in accordance with the tax regulations of China Shanghai. Late payments shall incur interest at the rate of 0.05% per day.
  6. The Pharmacist shall submit monthly progress reports to the Buyer's Procurement and Quality Assurance Department, detailing all clinical reviews conducted, adverse events reported, training sessions delivered, and audit findings. Failure to submit reports for two consecutive months shall constitute a material breach of this Purchase Order.
  7. All patient data, prescription records, and proprietary pharmaceutical information accessed by the Pharmacist during the performance of this Purchase Order shall be treated as strictly confidential. The Pharmacist shall sign a separate Non-Disclosure Agreement (NDA) in accordance with the Personal Information Protection Law of the People's Republic of China before commencing any work in China Shanghai.
  8. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause (including but not limited to loss of Pharmacist license, gross negligence, or regulatory violation), the terminating party shall provide immediate written notice, and all outstanding payments shall be settled within fifteen (15) days.
  9. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai, and the arbitral award shall be final and binding.
  10. This Purchase Order constitutes the entire agreement between the Buyer and the Pharmacist regarding the subject matter hereof and supersedes all prior negotiations, representations, or agreements. No amendment to this Purchase Order shall be valid unless made in writing and signed by both parties.
IMPORTANT NOTE: This Purchase Order is subject to the approval of the Buyer's Chief Medical Officer and the China Shanghai Municipal Drug Regulatory Authority where applicable. The Pharmacist must present a valid health certificate and drug-handling permit before accessing any controlled substance areas within the China Shanghai facility. All work performed under this Purchase Order is subject to random compliance inspections by the NMPA Shanghai Regional Office. For and on behalf of the Buyer:
