Terms and Conditions

  1. This Purchase Order is issued by the undersigned Pharmacist, Dr. med. pharmac. Katharina Vogel, acting in her capacity as the licensed operator of St. Michael Apotheke, Munich, Germany. All transactions are governed by the German Civil Code (Bürgerliches Gesetzbuch, BGB) and the applicable provisions of the German Pharmacy Act (Apothekengesetz).
  2. The supplier shall deliver all pharmaceutical goods in full compliance with the German Medicines Act (Arzneimittelgesetz, AMG) and the EU Good Distribution Practice (GDP) guidelines. All temperature-sensitive items must be transported under validated cold-chain conditions appropriate for storage in Germany Munich and the surrounding Bavarian region.
  3. Each shipment must be accompanied by a certificate of analysis, a batch/lot number record, and a declaration of conformity. The Pharmacist reserves the right to inspect and reject any goods that do not meet the specified quality standards or that arrive outside the required temperature range.
  4. Payment shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of the date of invoice, provided that all goods have been received and accepted by the Pharmacist without defect. Late payments shall accrue interest at the statutory rate under § 288 BGB.
  5. The supplier warrants that all pharmaceutical products listed in this Purchase Order are registered with the Federal Institute for Drugs and Medical Devices (Bundesinstitut für Arzneimittel und Medizinprodukte, BfArM) and carry valid marketing authorizations for sale in Germany.
  6. Delivery shall be made to the pharmacy premises at Marienplatz 12, 80331 Munich, Germany, between the hours of 08:00 and 16:00 CET on a business day. The Pharmacist or her designated pharmacy assistant shall sign the delivery receipt upon acceptance.
  7. In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the competent court of Munich, Germany (Landgericht München I) shall have exclusive jurisdiction.
  8. All personal data processed in connection with this Purchase Order shall be handled in accordance with the General Data Protection Regulation (GDPR, EU 2016/679) and the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG).
  9. This Purchase Order becomes binding upon written or electronic confirmation by both the Pharmacist and the authorized representative of the supplier. Any amendments must be documented in a written addendum signed by both parties.

Notes and Special Instructions

The Pharmacist requests that all insulin products (Item 02) be delivered in a validated cold-chain container with a continuous temperature data logger. The logged data must be made available to the pharmacy for regulatory audit purposes. Additionally, the refrigerated storage unit (Item 05) must be installed and calibrated on-site by the supplier's certified technician before the final delivery date. The Pharmacist will be available on-site in Munich for the installation and commissioning process. All packaging materials must be recyclable in accordance with the German Packaging Act (Verpackungsgesetz, VerpackG).
