1. Regulatory Compliance: All pharmaceutical products listed in this Purchase Order shall comply with the Medicines Act 1981 (New Zealand) and the regulations administered by the Ministry of Health, New Zealand Auckland region. The receiving Pharmacist (Dr. Sarah Mitchell, NZPharm Reg. No. 48291) shall verify all Schedule 2 and Schedule 3 items upon delivery in accordance with New Zealand pharmacy law.
2. Delivery Requirements: The supplier shall deliver all goods to the Auckland Community Pharmacy Supplies Ltd. premises at 142 Karangahape Road, Ponsonby, Auckland 1011, New Zealand, no later than 26 June 2025. Cold-chain pharmaceutical items (Item 003) must be transported in a validated 2–8°C environment throughout transit within the New Zealand Auckland metropolitan area. The Pharmacist on duty shall inspect and sign for all deliveries.
3. Pharmacist Verification: No pharmaceutical product shall be accepted into the pharmacy dispensary stock until the responsible Pharmacist has verified the product name, batch number, expiry date, quantity, and integrity of packaging. This Purchase Order is contingent upon the Pharmacist's written acceptance of all line items.
4. Payment Terms: Payment of the Grand Total of NZD 36,559.40 shall be made within thirty (30) calendar days of the date of this Purchase Order, i.e., by 12 July 2025, via bank transfer to the supplier's nominated New Zealand bank account. Late payments shall attract interest at the rate prescribed under the New Zealand Commerce Act 1986.
5. Returns and Defects: Any pharmaceutical product found to be damaged, expired, or non-conforming upon delivery in New Zealand Auckland shall be returned to the supplier at the supplier's cost within fourteen (14) days of the Pharmacist's written notice of non-conformance. The Pharmacist shall quarantine affected stock pending resolution.
6. Data Protection: All patient-related data processed under the software licence (Item 008) shall be stored on servers located within New Zealand, in compliance with the Privacy Act 2020 (New Zealand). The Pharmacist retains full authority over patient medication records.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved in the District Court of Auckland, New Zealand.
8. Cancellation: This Purchase Order may be cancelled or amended in writing by either party prior to dispatch. Cancellation of pharmaceutical items already in the supply chain within New Zealand Auckland shall be subject to the supplier's standard cancellation policy and any applicable restocking fees.
