This Purchase Order is issued by ZdraviePharm Retail Chain LLC to formally request and authorize the procurement of qualified Pharmacist professional services for deployment across multiple retail pharmacy locations within the city of Moscow, Russia Moscow. The purpose of this Purchase Order is to secure the recruitment, placement, and ongoing professional support of licensed Pharmacists who will operate in compliance with all federal and municipal regulations governing pharmaceutical practice in the Russian Federation.

The Pharmacist positions covered under this Purchase Order are intended to fill critical staffing gaps at the buyer's pharmacy outlets in the Central Administrative Okrug and South-Western Administrative Okrug of Moscow. Each Pharmacist engaged under this Purchase Order must hold a valid state-issued certificate of specialization in pharmacy (attestat) and be registered in the unified federal register of healthcare professionals maintained by the Ministry of Health of the Russian Federation.

4.1 Compliance with Russian Pharmaceutical Law. All Pharmacist personnel placed under this Purchase Order shall strictly adhere to Federal Law No. 61-FZ "On Circulation of Medicines," Federal Law No. 323-FZ "On the Basics of Health Protection of Citizens in the Russian Federation," and all applicable decrees of the Ministry of Health of the Russian Federation. The Supplier warrants that every Pharmacist engaged will possess a current, unexpired attestation and will not be subject to any disciplinary or administrative restrictions.

4.2 Commencement and Delivery. The Supplier shall ensure that all Pharmacist positions listed in Section 3 are fully staffed and operational no later than 30 calendar days from the date of acceptance of this Purchase Order. The first Pharmacist to report shall be the Senior Pharmacist assigned to the Tverskaya Street location in Moscow, Russia Moscow.

4.3 Payment Terms. Payment for this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. Invoicing shall occur on a monthly basis, with payment due within 21 calendar days of invoice receipt. The Buyer reserves the right to withhold payment for any Pharmacist position that remains unfilled beyond the agreed commencement date, subject to a penalty of 0.1% of the monthly position value per day of delay.

4.4 Termination and Replacement. Should any Pharmacist engaged under this Purchase Order resign, be terminated for cause, or become medically unfit for duty, the Supplier shall provide a qualified replacement Pharmacist within 14 business days at no additional cost to the Buyer. The Buyer may terminate this Purchase Order in whole or in part with 60 days' written notice.

4.5 Data Protection and Confidentiality. Both parties shall comply with Federal Law No. 152-FZ "On Personal Data." All personal data of the Pharmacist candidates and employees shall be processed exclusively within the territory of Russia Moscow and the Russian Federation. No data shall be transferred to third-party jurisdictions without explicit written consent.

4.6 Governing Law and Dispute Resolution. This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through the Arbitration Court of the City of Moscow, Russia Moscow, as the exclusive forum for jurisdiction.

4.7 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events as defined under Article 401 of the Civil Code of the Russian Federation, including but not limited to acts of government, natural disasters, or public health emergencies affecting operations in Moscow, Russia Moscow.

By signing below, both parties confirm that this Purchase Order has been reviewed, understood, and accepted in full. The terms set forth herein constitute the complete and exclusive agreement between the parties regarding the procurement of Pharmacist services for the locations in Russia Moscow identified in this document.
