- This Purchase Order is issued in accordance with the commercial laws of the United Arab Emirates and the specific regulations governing pharmaceutical trade in Dubai, as enforced by the Dubai Health Authority (DHA) and the Ministry of Health and Prevention (MOHAP).
- The Pharmacist named in this Purchase Order (Dr. Fatima Hassan) shall perform all professional services in strict compliance with the UAE Pharmaceutical Law (Federal Law No. 2 of 2013) and all DHA operational guidelines applicable in Dubai.
- All pharmaceutical products listed in this Purchase Order must carry valid DHA registration numbers, and the Pharmacist shall provide certificates of analysis, batch numbers, and expiry dates prior to delivery at the designated warehouse in Jebel Ali Free Zone, Dubai.
- Cold-chain pharmaceutical items (Item No. 03) must be transported in temperature-controlled units maintained between 2°C and 8°C, with continuous temperature logging. The Pharmacist is responsible for ensuring chain-of-custody integrity from the point of dispensing at Dubai Care Pharmacy to final delivery.
- The Pharmacist shall provide a written compliance report within five (5) business days of delivery, confirming that all items meet the quality standards required for resale in the United Arab Emirates Dubai market.
- Payment of AED 81,900.00 (inclusive of 5% VAT) shall be made via bank transfer to the supplier’s designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 2% per month as permitted under UAE commercial law.
- The Pharmacist warrants that all professional services rendered under this Purchase Order shall be performed with the due care, skill, and diligence expected of a licensed Pharmacist registered with the Dubai Health Authority. Any negligence or deviation from standard pharmaceutical practice shall render the Pharmacist liable for damages.
- Confidentiality: Both parties agree that all information exchanged under this Purchase Order, including patient data, supplier pricing, and proprietary formulations, shall remain strictly confidential in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Dubai Courts or, at the buyer’s option, to the Dubai International Financial Centre (DIFC) Courts for arbitration in accordance with UAE law.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including delivery, inspection, and payment, have been fully discharged. Amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
- The Pharmacist shall maintain valid professional indemnity insurance with a minimum coverage of AED 1,000,000 throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
