2. Description of Purchase Order ItemsThis Purchase Order is issued by Tashkent Central Medical Supply JSC for the procurement of qualified Pharmacist professional services to be rendered within the administrative boundaries of Uzbekistan Tashkent. - All Pharmacist personnel engaged under this Purchase Order must hold a valid pharmaceutical license issued by the Ministry of Health of the Republic of Uzbekistan and must be registered with the Tashkent Regional Pharmacy Board.
- The Supplier guarantees that each Pharmacist assigned to fulfill the obligations of this Purchase Order shall possess a minimum of five (5) years of professional experience in pharmaceutical practice within Uzbekistan Tashkent or equivalent international experience.
- Services shall be rendered exclusively at the designated locations within Tashkent, Uzbekistan, as specified in the individual position descriptions attached to this Purchase Order as Annex A.
- The total value of this Purchase Order is three hundred eighty-nine million (389,000,000) Uzbekistani Sums (UZS), inclusive of all applicable taxes, social contributions, and professional liability insurance as mandated by the labor and pharmaceutical regulations of Uzbekistan.
- Payment shall be made in monthly installments via bank transfer to the Supplier's designated account at the National Bank of the Republic of Uzbekistan, Tashkent branch, within fifteen (15) business days of receipt of the monthly service invoice.
- The Supplier shall provide a replacement Pharmacist of equivalent or superior qualification within seventy-two (72) hours in the event of any Pharmacist's inability to perform duties due to illness, resignation, or other cause.
- All Pharmacist personnel shall comply with the data protection and patient confidentiality laws of the Republic of Uzbekistan, including the Law on Personal Data Protection and the Pharmaceutical Code of Ethics applicable in Tashkent.
- This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of mutual execution, unless terminated earlier in accordance with the termination clauses herein.
- Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the Tashkent International Arbitration Center.
- This Purchase Order is governed by and shall be construed in accordance with the Civil Code of the Republic of Uzbekistan, the Labor Code of the Republic of Uzbekistan, and all applicable pharmaceutical regulatory statutes in force in Uzbekistan Tashkent.
The Pharmacist personnel and associated services described in this Purchase Order shall commence no later than 1 July 2025. The Supplier shall ensure that all Pharmacist candidates have completed the necessary onboarding, background verification, and facility orientation prior to the commencement date. All professional equipment, access credentials, and workplace assignments within the Uzbekistan Tashkent facilities shall be provided by the Purchaser.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge that this Purchase Order represents a binding agreement for the procurement of Pharmacist professional services in Uzbekistan Tashkent. Both parties confirm that they have read, understood, and agree to all terms, conditions, and specifications set forth in this document.
