This Purchase Order is issued by Saigon Pharmaceutical Distribution Co., Ltd. to procure the professional services of a fully licensed Pharmacist to be deployed at our primary distribution and dispensing facility located in Vietnam Ho Chi Minh City. The Pharmacist shall be responsible for the oversight of pharmaceutical inventory management, prescription verification, drug interaction screening, regulatory compliance with the Ministry of Health of Vietnam, and the supervision of junior pharmacy staff. The Pharmacist must hold a valid license issued by the Vietnam Ho Chi Minh City Department of Health and possess a minimum of five (5) years of post-licensure experience in a hospital or large-scale retail pharmacy environment.
The services procured under this Purchase Order include, but are not limited to: daily dispensing operations, quality assurance of incoming pharmaceutical shipments, maintenance of cold-chain storage protocols, preparation of monthly compliance reports for the Vietnam Ho Chi Minh City pharmaceutical regulatory authority, and participation in quarterly safety audits. The Pharmacist shall work a standard schedule of 40 hours per week, Monday through Friday, with availability for emergency on-call rotations as dictated by operational needs at the Vietnam Ho Chi Minh City facility.

5.1. This Purchase Order is governed by the Commercial Law of Vietnam and all applicable regulations enforced within Vietnam Ho Chi Minh City. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City.
5.2. The Pharmacist engaged under this Purchase Order must maintain an active, unexpired license throughout the entire contract period. Failure to maintain licensure will constitute a material breach of this Purchase Order, entitling the Buyer to immediate termination without penalty.
5.3. The Supplier guarantees that the Pharmacist shall comply with all data protection and patient confidentiality obligations as stipulated by Vietnamese law. All pharmaceutical records handled by the Pharmacist at the Vietnam Ho Chi Minh City facility shall be stored in accordance with the Ministry of Health's electronic health record standards.
5.4. Payment shall be made via bank transfer to the Supplier's designated account. Invoices must reference this Purchase Order number (VNM-HCM-2025-04871) to be processed. Late payments shall incur a penalty of 0.05% per day as permitted under Vietnamese commercial regulations.
5.5. The Buyer reserves the right to conduct performance reviews of the Pharmacist on a quarterly basis. Unsatisfactory performance, as defined in the attached Service Level Agreement, may result in the Supplier's obligation to replace the Pharmacist within fourteen (14) calendar days at no additional cost to the Buyer.
Important Note: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The Pharmacist's start date of 01 July 2025 is contingent upon successful completion of background verification, license validation with the Vietnam Ho Chi Minh City Department of Health, and a satisfactory medical fitness examination.
